GOVERNING BODY AND MANAGEMENT In March 2015, the trust amended their bylaws in the following areas: Article 1: Definitions of various items mentioned throughout the section Article 2: Changed name of the trust to 'Insurance Trust for Delta Retirees' Article 3: Purpose of the organization as a non-profit association organized and operated exclusively for exempt purposes within the meaning of IRS Code Section 501(C)(9) Article 4: Board of Directors - including the composition that the Board shall be no fewer than three and no more than fifteen in number, including vacancies Article 5: Trust Board meetings Article 6: Board Action - Including quorum and electronic mail vote Article 7: Board Committees Article 8: Including books and records and amendment process for the bylaws Article 9: Indemnification including purchase of liability insurance for the Board Members Article 10: Trust Dissolution In September 2015, an additional amendment was made to the bylaws by adding the following new sentence to Section 6.3 of the bylaws: "Notwithstanding the foregoing, the subject of any previous vote may be reconsidered at any time if, by a unanimous affirmative vote of all of the Board Members, the Trust Board deems it in the best interest of the Trust to reconsider the matter. Any change in the previous vote must then be passed by a Majority vote or Super Majority vote of the Trust Board, as applicable." FORM 990, PART VI, LINE 9 SECTION A.
