| Form 990, Part VI, Line 7a: How Members or Shareholders Elect Governing Body | Regular and associate members may vote to elect the officers and the board of governors. These shall be elected by written ballot mailed by the nominating committee to the membership three months prior to the annual meeting and the nominees for each office obtaining the majority vote should be elected. |
| Form 990, Part VI, Line 7b: Describe Decisions of Governing Body Approval by Members or Shareholders | Any exception for membership must have the majority approval of the board of governors and an affirmative vote by two thrids of the voting membership at an annual meeting/business meeting. Honorary membership may be conferred upon a physician for outstanding contributions to pediatric surgery by unanimous vote of the board of governors and an affirmative vote by two-thrids of the voting membership attending the annual/business meeting.Upon the recommendation of the membership and credentials committee with approval of the board, the list of applicants shall be circulated to the membership-at-large twice per year for voting.Dues shall be set by the board of governors and approved by the membership at the annual meeting. Upon request for appearl, the membership present shall confirm or refute the recommendation of the board of governors by simple written majority vote. This vote shall be considered binding and final.The board shall pass recommendations on candidates for membership to the entire membership.Two-thrids vote of the membership voting at the annual meeting will be necessary for adoption of a change or amendment of the bylaws of the association. |
