| Form 990, Part VI, Section A, line 4 | The organization made the following updates to its bylaws so they read as follows: 1.3.1.8 Past Presidents of the American Society of Anesthesiologists Past presidents of ASA are valuable resources for the BOD. As such, it was recommended and approved by the BOD that all ASA past presidents be allowed to serve as non-voting, non-funded members of the BOD to enhance communication. 1.4.3.1 Active Members Doctors of Medicine or Osteopathy who are licensed to practice medicine in one or more of the fifty states, the District of Columbia, or any U.S. Territory who have successfully completed a training program in anesthesiology, accredited by ACGME, the American Osteopathic Association, or equivalent organizations, and who are in compliance with any further membership requirements listed in the Administrative Procedures. 1.4.3.2 Affiliate Members 1.4.3.2.1 A physician not in the clinical practice of anesthesiology. 1.4.3.2.2 A scientist who, while not engaged in administering clinical anesthesia to humans, is nevertheless interested in anesthesiology. 1.4.3.2.3 A physician who resides outside the United States and is not a member of any other component society. 1.4.3.1.1 Each active member of a component society shall be an Active member of this Society but cannot be an active member in another component society. See also Section 1.7.2. 1.4.3.3 Resident and Fellow Members A physician who satisfies the requirements of Sections 3.2.7.1 and 3.2.7.2 and is within the jurisdiction of the component society. 1.4.3.3.1 Resident and Fellow members shall belong to both the Resident and Fellow Component Society and either their state component society or the Uniformed Services component. 1.4.3.4 Other Categories and Requirements Component society categories and requirements may not conflict with provisions in these Bylaws nor add to component society membership individuals who are not eligible for ASA membership. Component society members must maintain membership in the American Society of Anesthesiologists. 1.4.5 ASA Resident and Fellow Component A special component of this Society shall consist of Resident and Fellow Members of ASA to encourage resident and fellow participation, to develop young leaders with experience in organized medicine, and to improve resident and fellow awareness of the role of ASA in the evolution of the specialty of anesthesiology. 1.4.5.1 The Resident and Fellow Component shall meet at the time of the ASA Annual Meeting. 1.4.5.2 The Resident and Fellow Component shall have a President, Secretary and other officers as it may desire, all of whom shall be resident or fellow members. 1.4.5.3 The Resident and Fellow Delegate and Alternate Resident and Fellow Delegate shall serve to represent ASA in a manner consistent with policies and positions adopted by the ASA House of Delegates, and shall work in cooperation with the AMA Section Council on Anesthesiology. They shall serve as Delegate and Alternate Delegate to the AMA/RFS House of Delegates. Resolutions submitted to the AMA/RFS on behalf of the ASA Resident and Fellow Component shall have approval of the ASA President as well as the ASA Delegation to AMA. 1.4.7 Uniformed Services Society of Anesthesiologists Component A special component of this Society shall consist of the members of the Uniformed Services Society of Anesthesiologists (USSA). The USSA represents and serves the unique needs and interests of uniformed anesthesiologists. Its purpose is to serve as a networking and education platform for all branches of the armed services. 1.5.2 Eligibility 1.5.2.1 All Directors and Alternate Directors shall have been active members of their component society and an active member of the ASA for at least two years prior to their election, or for such shorter period as their component society may have existed. 1.5.2.2 The Director and Alternate Director representing academic anesthesiology shall have been an active member of the American Society of Anesthesiologists for at least two years prior to election. 1.5.2.3 This Section does not apply to the Resident Component (see Section 1.4.5). 1.7.1 Delegate Apportionment 1.7.1.1. Each component shall be entitled to one delegate per hundred active members of the ASA or fraction thereof. 1.7.1.2 ASA Life members shall be counted as active members in the determination of the delegate count. 1.7.1.3 The number of delegates for each component shall be determined, by the ASA's count of ASA active members attributed to the component society as of December 31. 1.7.1.4 Each component society is entitled to an equal number of alternate delegates as it has delegates. 1.7.2 Eligibility 1.7.2.1 Each delegate and alternate shall be an active member of the ASA attributed to the component society represented except that delegates of the resident and medical student components need only be members of the appropriate resident or medical student component. See also Section 1.4.3.1.3. 1.7.2.2. Each delegate shall meet any other criteria for eligibility as described in these Bylaws. 1.7.4 Terms 1.7.4.1 The term of office for delegates and alternates shall be one year, unless otherwise specified by the component society bylaws for a longer term, and shall commence at the beginning of the next Annual Meeting of the House of Delegates following their election/appointment and end at the beginning of the Annual Meeting of the House of Delegates following their term of office. 1.7.4.2 There are no term limits unless the component society's bylaws state otherwise. 1.7.4.3 Component societies whose delegates were elected or appointed to a three-year term may continue to serve the residual time of their term. 1.7.5 Notification to ASA of Delegates and Vacancies. 1.7.5.1 The component society shall notify the ASA at least 60 days before the start of the Annual Meeting of the House of Delegates of the roster of Delegates and Alternates. 1.7.5.2 In the event of a vacancy or substitution for the delegate or the alternate delegate between 8 and 59 days prior to the start of the Annual Meeting of the House of Delegates, the Secretary of the component society shall notify the ASA in writing, which notification shall not be effective until acknowledged by the ASA. 1.7.5.3 In the event of a vacancy or substitution occurring seven days or less before any meeting of the House of Delegates, the director or other component society officer shall notify in writing the Assistant Secretary at the Credentials Desk on the day of the House of Delegates meeting. 1.7.6 Vacancies and Substitutions at the House of Delegates Meeting 1.7.6.1 Delegate substitutions - An alternate delegate may substitute for a delegate at the House of Delegates upon notification to the Credentials committee. 1.7.6.2 Delegate or Alternate Delegate vacancies - If a vacancy occurs at or immediately preceding the House of Delegates, the Director or other component society officer, if the Director is unavailable, will notify in writing the Assistant Secretary and the Credentials Committee. 1.8.8.3 A subspecialty society may withdraw its representation upon written notice to ASA. 1.8.5 Qualifications and Terms of Delegates The Delegate and Alternate Delegate selected by the subspecialty organization shall have the same eligibility as other Delegates, and shall be selected in the same manner and for the same terms as provided in Sections 1.7.3 and 1.7.4 with respect to the election and terms of office of component society delegates. 1.8.8 Discontinuance of Representation Any request to discontinue representation of a subspecialty organization in the House of Delegates shall be referred to the Committee on Specialty Societies for study and report to the House of Delegates. 1.9.3 The Chair of each Section shall direct and coordinate the activities of the committees in the Section. 1.9.3.1 The Chair of each committee shall report to the Chair of their Section. 3.2.1.2 Active members of this Society who maintain an unrestricted license (or approved waiver per Department of Defense instruction) to practice medicine in the United States of America and who are on active duty in any of the Uniformed Services or a contract physician to a DOD facility as their primary place of practice may belong to the Uniformed Services component. |

Each applicant as described in 3.2.2.2 shall file an application with the Secretary of this Society. 3.2.2.4 The Secretary of this Society shall review and approve the applications for Active and Affiliate membership. 3.2.3.1 Application each applicant as described in 3.2.3 shall file with the Secretary of this Society and application and: 3.2.3.2 Approval of Applications The Secretary of this Society shall review and approve Educational membership applications. 3.2.6 Retired Members 3.2.6.3 Active members of this society who do not meet the requirements in 3.2.6.1 or 3.2.6.2 and are permanently disabled and unable to engage in the practice of their profession shall at their request be placed in retired membership status. 3.2.6.4 A written request to change to Retired member status shall be submitted to the Secretary of this Society. The member may choose membership in the component society of permanent residence or of previous practice if such category is available in that component. 3.2.6.5 The Secretary of this Society shall review and approve the change of membership status request. 3.2.3 Educational Members An educational member shall be a provider of anesthesia care who is not neither a physician nor an anesthesiologist assistant. 3.2.10 Anesthesiologist Assistant Members An anesthesiologist assistant member shall be a provider of anesthesia care who is a Fellow member in good standing of the American Academy of Anesthesiologist Assistants (AAAA). 3.2.10.1 Application The Secretary of this Society shall review and approve Anesthesiologist Assistant membership applications. 3.2.7 Resident and Fellow Members 3.2.7.1 A Resident and Fellow member is a physician in full- time training in an anesthesiology residency program or fellowship program accredited by the Accreditation Council for Graduate Medical Education (ACGME) or The American Osteopathic Association. 3.2.7.2 Each applicant shall file with the Secretary of this Society an application endorsed by the Director of the Training Program. A copy of the application shall be forwarded to the Secretary of the appropriate component society. 3.2.7.3 Applicants are eligible for Resident and Fellow membership during each year of training, concluding on December 31st of the year of graduation. Graduates of residency or fellowship training will be automatically advanced to the Active member category. 3.3.2 Affiliate members, honorary members, anesthesiologist assistant members and educational members shall be entitled to such educational benefits as approved by the House of Delegates. At the invitation of the President, affiliate members, honorary members, anesthesiologist assistant members and educational members may: 3.3.2.1 Serve on ASA Committees. 3.3.2.2 Attend Reference Committee hearings or meetings of the House of Delegates. 3.4.1 The amount of annual dues shall be determined by the Board of Directors subject to the approval of the House of Delegates and such dues shall not be refundable. 3.4.2 There shall be no annual dues or assessments required of Life, Honorary or Retired members. 3.4.3 Annual dues are due by January 1 of each year. 3.4.3.1 Delinquency 3.4.3.1.1 A member shall be deemed delinquent if the dues are unpaid by March 31. 3.4.3.1.2 After notification, and if delinquent on May 1, all member benefits shall be suspended until dues for the current year have been paid. After notification, and if delinquent on May 1, the member shall be dropped from membership in this Society. 3.5.1 After the expiration of one year from the date of original transfer, membership in this Society shall cease, unless transferee has joined the local component. 3.5.2 When a member of this Society transfers from one component society to the jurisdiction of another, the member shall, within a period of 180 days, apply for membership in the new component society. 5.1.2 Composition The Division of Administrative Affairs shall be composed of the First Vice-President and of the following Sections: 5.2.2 Composition The Section on Administration shall be composed of the following committees: 5.3.2 Composition The Section on Representation shall be composed of the following committees: 5.3.2.11 Committee on International Collaboration - The president has submitted in his report a request to create a new Committee on International Collaboration whose mission will be to develop and maintain cooperative relationships with other international anesthesiology organizations and guide the Society's international activities and strategy. 6.1.2 Composition The Division of Scientific Affairs shall be composed of the Vice-President for Scientific Affairs and of the following Sections: 6.1.2.4 Section on Publications 6.3 SECTION ON PUBLICATIONS 6.3.1 Purpose This Society shall sponsor and cause to be published by the Editorial Board, Journals, scientific journals and other publications that shall contain articles concerning the study and practice of anesthesiology, subject, however, to the provisions of Section 1.3.2.1. 6.3.2 Section Composition 6.3.2.1 Committee on Publications and Digital Content Oversight 6.3.2.2 The editorial board of the journal, ANESTHESIOLOGY 6.3.2.3 The editorial board of the newsletter 6.3.2.5 Future Editorial Boards 6.3.3 Chair - The President shall appoint a Chair of the Section on Publications annually. 6.4.2 Composition The Section on Annual Meeting shall be composed of the following committees and one member of the Editorial Board, Journals, who shall serve ex officio. 6.4.3 Chair The President shall appoint a Chair, First Vice-Chair, Second Vice-Chair and Third Vice-Chair of the Section on Annual Meeting annually. 6.5.2 Composition The Section on Clinical Care shall be composed of each of the following committees: 6.6.2 Composition The Section on Subspecialties shall be composed of each of the following committees: 6.6.2.11 The Committee on Pain Medicine requested, and the BOD approved, a request to elevate the Subcommittee on Palliative Medicine to become the Committee on Palliative Care 7.1.2 Composition The Division of Professional Affairs shall be composed of the Vice-President for Professional Affairs and of the following Sections: 7.2.2 Composition - The Section of Professional Standards shall be composed of the following committees: 7.3.3.5 Committee on Health and Public Policy |
