Explanation

Part IV, Line 2b: Explanation of escrow account liability

The Organization entered into an agreement with the U.S. Department of Energy and another organization to run the Electrical Energy Storage Applications and Technologies Conference (the Conference). Under this agreement, the Organization is responsible for managing all of the financial aspects of the Conference. The Organization retains an escrow amount for any revenue surplus from the Conference for the next EESAT Conference.In 2015, the agreement was terminated. In a new agreement, the conference become a program of the Organization, and the funds held for the EESAT Conference transferred to the Organization.

The Organization evaluates uncertainty in income tax positions based on a more likely- than-not recognition standard. If that threshold is met, the tax position is then measured at the largest amount that is greater than 50% likely of being realized upon ultimate settlement. For tax positions that the Organization considers to be uncertain, current and deferred tax liabilities are recognized, or assets derecognized, when it is probable that an income tax liability has been incurred and the amount of the liability is reasonably estimable, or when it was probable that a tax benefit, such as a tax credit or loss carry- forward, would be disallowed by a taxing authority.
