Form 990, Part VI, Section A, Line 7b	Amendments to the Clubs Constitution or any Article thereof may be initiated by petition to the Board of Governors signed by twenty-five 25 shareholders and may be adopted at any duly organized meeting of shareholders, by a two-thirds 2/3 vote of a quorum provided that the proposed amendments have been given in writing to all shareholders at least ten 10 days before such meeting. In the event a quorum is not present, the Board of Governors may request a vote by mail ballot.
Form 990, Part VI, Section C, Line 19	The Clubs constitution and bylaws are posted on the Clubs website. The Clubs annual financial statements are distributed at its annual membership meeting to which all members are mailed an invitation/notice. Both documents are also available upon request made to any member of the Clubs Board of Govenors.
Form 990, Part XI, Line 9	Other changes in net assets represents a net increase in membership shares from the prior year.
Form 990, Part VI, Section B, Line 11b	The 990 is prepared by the Clubs business manager who also maintains the Clubs books and records. The 990 is also reviewed and signed by one of the Clubs two officers, either the president or secretary/treasurer.

The Springfield Swim Club the Club, EIN 23-1488912, is late in filing its 990 and 990-T for its fiscal year ended October 31, 2013 and 2014. Unfortunately, there were several issues that caused confusion as to who would prepare as well as who was responsible for filing the returns. For one, the Clubs Board of Governors changes annually, according to its bylaws, at its annual membership meeting which is typically held mid-November of each year. The two officers at the President and Secretary positions had a change in the volunteers who was elected to fill the post. In addition, there were discussions as to hiring a new accountant due to the change in officers. Between the change in officers and the accountant, the returns were not filed. It was not until the current year end close process that it was discovered that no returns were filed for either of the fiscal years ended October 31, 2013 or 2014. With the exception of 1 other time, the Club has always filed its tax returns on a timely basis. The Club takes this responsibility very seriously and is extremely sorry for the situation that has occurred. The organization is updating its policies and procedures, disclosures and communications amongst outgoing and incoming Board members and has even begun to prepare written job descriptions and responsibilities for each position in the hope that the end result will prevent this from ever occurring in the future. The organization is a swim club with a 501c 7 designation whose mission is to provide a safe, family oriented environment for approximately 500 local families while schools are out for summer break and to teach both water safety and good sportsmanship as part of its swim team program. In addition, the late filing penalty would present a significant burden given the Clubs limited budget. The Club strenuously strives to maintain the facilities with no annual dues increases so as local families can continue to provide an affordable and safe environment for their children while school is out of session for the summer break. The organization believes it has operated in good faith, and we believe the facts and circumstances outlined above support an abatement of the penalty especially given that steps have been taken to ensure that all future filings will be timely.
