This written statement is being made under penalties of perjury by Reed Wagner, Executive Director of Sandy Drainage Improvement Company and Alana N. Theiss, CPA.We respectfully request abatement of late filing penalties for our 2015 Form 990 in light of the following facts and circumstances, which we believe to be reasonable cause:1. Reason penalty was charged: We expect that late filing penalties will be levied against the Company as it plans on filing its 2015 Form 990 after the original due date of November 15, 2016. 2. What prevented complying with the law:The late filing of the return was inadvertent. The Company had a change in management and change in independent CPA firm. Management thought that the original due of the return was December 31, 2016 - not November 15, 2016. Consequently, management of the Company believed an extension could be filed at the time it engaged the CPA firm to complete the return: December 22, 2016.3. How the organization exercised ordinary care:Management of the Company believed that it exercised ordinary care in retaining the CPA firm to prepare the 2015 Form 990 on December 22, 2016 since it believed the due date of the return was December 31, 2016. Upon learning that the due date of November 15, 2016 had passed, management immediately worked with the CPA firm to file the return as quickly as possible. 4. What steps have been taken to prevent future occurrences:Management will note the correct due date of November 15 for the return and engage tax preparers in advance of the due date.5. Other information:The Company is a nonprofit corporation formed solely to provide drainage and flood control services to landowners in a certain geographic area. The board of the Company are all volunteers who serve without compensation. Payment of the penalty will place an undue burden on the Company and ultimately the cost of the penalty will reduce the funds available to support its drainage and flood control programs.
