Explanation
Form 990, Part VI, Section B, Line 11b
The outsourced CFO and the director of Finance reviews the completed 990 and it is further reviewed with the president and CEO. At a scheduled or called meeting of the finance committee of the board of governors, the independent auditors review the audited financial statements and the IRS form 990 in detail. At the meeting significant time is devoted to questions and answers. The finance committee approves the audit report and the form 990 for filing and for presentation to the full board of governors. Prior to signature and filing the return the form 990 is distributed to the full board for review and comment. The CEO is the Joint Center signatory for the return.
Form 990, Part VI, Section B, Line 12c
All members of the board of governors, officers and key employees are required to review the Joint Center's conflict-of-interest policy and code of ethics standards annually and to disclose any relationships with existing or proposed suppliers which would constitute a conflict-of-interest under the standards or the absence of any such conflict by completing a conflict disclosure certificate and filing it with the assistant secretary of the Board of Directors. Sanctions and remedies are clearly delineated for any breach of the published policy.

Decisions involving compensation of the Chief Executive Officer of the Joint Center are made by the executive community of the Board of Governors using a review of the compensation paid by comparable not-for-profit organizations in the metropolitan Washington, DC region based on surveys or other appropriate documentation, an independent consultant or a combination thereof.

As a result of the current year's loss both the unrestricted and temporary net assets were reduce by $991,362 and $2,109,694 respectively. The net worth of the organization (total net assets) had a surplus balance of $2,892,537 as of December 31, 2013.

Explanation:
The Joint Center for Political and Economic Studies experienced a crisis in governance and financial difficulties during 2013. During the year the then president, Ralph Everett resigned. As a result of this resignation, many of the responsibilities related to this office were not met. At the same time there needed to be appointed, interim Board members to give the direction needed in this difficult period. The appointment of interim board members is not an overnight process and this time factor was not favorable to the overall affairs of the Center. Due to the financial difficulties, the Center began to lay off staff, and by the end of the first quarter in 2014 the Center had no employees. The combination of the aforementioned factors provide reasonable cause why Center was unable to file a timely return for 2013. The Center thus seeks waiver of any penalties that are associated with this late filing.
