| Form 990, Part V, Line 2a: | The Foundation did not directly employ any individuals during the tax year, but rather reimbursed a related tax-exempt organization for the cost of services provided by 14 employees. A Form W-3 was submitted by the other organization to report the compensation paid to these employees. The number of employees reported on this Form 990 reflects the employees reported under this arrangement, which comprise the Foundation's entire staff. |
| Form 990, Part VI, Section A, line 4 | In a prior tax year, the Foundation made the following changes to its bylaws which would be considered significant changes pursuant to the Form 990 instructions, and which have not previously been reported to the IRS: Corporate members: The Diocesan Administrator will serve as a member of the Foundation in place of the Bishop of the Diocese in the case of a vacant See, until such time as the See is no longer vacant. The member seat of the Vicar General may now also be filled by an appointee of the Bishop (or Diocesan Administrator), who may be removed and replaced at the Bishop's (or the Diocesan Adminstrator's) choosing. The Chief Operating Officer of the Diocese no longer serves as a corporate member; rather, this member seat may be filled by an appointee of the Bishop (or Diocesan Administrator) who may be removed and replaced by the Bishop's (or Diocesan Administrator's) choosing. Dissolution: the Board of Directors may adopt a resolution that the corporation be dissolved and direct that the question of such dissolution be submitted to a vote at a meeting of the Members. The Board may also adopt a resolution approving a plan of distribution of the corporate assets upon dissolution, which plan is subject to approval by the Bishop and two other Members. Board of Directors: the Bishop of the Diocese shall serve as a full voting member of the Board and count towards establishing a quorum. The removal of any Director must be approved by the Bishop and at least two other Members, and the Bishop and any two other Members may remove any Director and fill any vacancies created by such removal. Committees: the amended Bylaws updated the number of Standing Committees of the Board, and clarified the duties of each Standing Committee. Grants: grants from the Foundation to other Catholic Institutions in excess of certain amounts must be approved by the Members. |
