| PART III - LINE 1 | THE HARVARD CLUB OF NEW YORK CITY ("THE CLUB") PROMOTES SOCIAL INTERACTION AMONG MEMBERS WHO HAVE BEEN WITH HARVARD UNIVERSITY AS STUDENTS OR INSTRUCTORS, OR WHO HAVE RECEIVED HONORARY DEGREES. THE MEMBERS CAN ACCESS THE CLUB'S 73 OVERNIGHT GUEST ROOMS, FITNESS CENTER, DINING FACILITIES, BANQUET FACILITIES, AND LIBRARY. PART VI, SECTION A - QUESTION 4 THE CLUB REVISED THE FOLLOWING SECTIONS OF THE BY-LAWS: APPOINTMENT OF COMMITTEES: 1. The Board shall appoint in each year, from its own members, or from the Club at large, the following standing committees: (a) House Committee (b) Finance Committee (c) Program Committee (d) Harvard Schools Committee (e) Membership Services Committee and such other standing committees as the Board from time to time may determine. 2. The Board shall fix from time to time the number of members of each standing committee, shall appoint its chairman and other officers and may fill any vacancies. Unless otherwise determined by the Board, the members of standing committees shall hold office three years after their appointment, or until their successors are appointed. The Board shall prescribe the duties and powers of all standing committees to the extent that they are not prescribed in these By-Laws. The Board may also remove from office any Committee chair or other Committee officer if the Board determines that such removal shall be in the best interest of the Club. The term of each Committee officer shall be one year, subject to renewal by the Board for no more than two additional one year terms. 3. The Board may also appoint special committees and subcommittees from time to time and prescribe their powers and duties. AUDIT COMMITTEE: The Audit Committee shall consist of at least three current members of the Board who are not members of the Executive Committee or of the Finance Committee. None of the members of the Audit Committee shall, within the previous three years, have been an employee of the Club, have received any compensation from the Club or have a substantial financial interest in an entity that has made or received payments from the Club other than charitable contributions, membership dues or fees for use of Club facilities. The Board shall appoint the Chair of the Audit Committee. All members shall be independent, according to standards established by the Board of Managers, in order to serve on this Committee. The Audit Committee shall possess or have access to the requisite financial expertise to fulfill its responsibilities. The Committee oversee shall oversee the Club's accounting practices and financial reporting processes and ultimately is shall be responsible for the quality and objectivity of its financial reporting. The Committee shall recommend to the Board the appointment of a firm of independent public accountants to examine the accounts of the Club. It shall review the scope of the independent public accountants' examination and fix their fees. It shall oversee the audit and review, from time to time and at least annually, the results of the independent public accountants' audit, and any reports of problems identified by them with respect to the Club's internal accounting controls or recommendations with respect thereto. The Committee will investigate any matters delegated to it under the Club's whistleblower policy. The Committee shall establish a charter that delineates the responsibilities of the Board and those of the Audit Committee and that sets out the process by which it will fulfill its duties. The Committee will review the charter at least on an annual basis to ensure ongoing compliance with applicable legal and regulatory requirements. The charter will be approved by the Board and disclosed to the membership. The Committee shall have the power to retain attorneys, accountants, private investigators or any other resources deemed necessary to fulfill its duties. Actions taken at a meeting of the Audit Committee shall be reported to the Board not later than at the second. MEMBERSHIP SERVICES COMMITTEE: 1. The Membership Services Committee, subject to the direction and control of the Board, shall have responsibility for ascertaining the needs and interests of the Club's members and shall propose and effectuate initiatives to improve members' enjoyment and satisfaction with the Club and its services. The Committee shall also have responsibility for the Club's communication with its membership, including the Club's monthly printed Bulletin, the E-mail Bulletin, the Club's website and such other forms of regular and special communication as may in the future be developed to communicate with the membership and enhance the membership's interaction with the Club and its leadership. The Committee may advise the President and the Board of Managers of all matters pertaining to membership. It may, from time to time, make recommendations to the Board with respect to waiver, deferral or reduction of entrance or reinstatement fees pursuant to By-Law XIV and with respect to criteria for the remission or reduction of dues and the determination of dues of temporary or special members pursuant to By-Law XV. 2. As part of the Membership Services Committee, Crimson Impact shall provide opportunities for volunteer activities and community service programs in the New York City area. Persons who are not members of the Club shall be eligible to serve as volunteers on behalf of Crimson Impact.
