	The annual meeting provides a forum for the exchange of technical information related to the practice of pediatric surgery, to promote research in the field of pediatric surgery, and to present the most current developments in the field of pediatric surgery to its members. The annual meeting also provides an opportunity for members to obtain CME credits for attendance. Approximately 790 attended.

	Publications educate members, the public, patients, and those in related fields in areas such as field advancements, in techniques and services, availability and access to resources and pediatric surgeons. Publications provide an eduction for patients and families in areas of support and healthier living, allow for access to exams, etc.that will result in CME credits. The newsletter was circulated to approximately 1,200 members. The website consists of one section aimed at pediatric surgeons and other professionals and a second section dedicated to pediatric patients and their families.

Form 990, Part VI, Line 3: Description of Delegated Duties to Management Company	APSA has contracted with the management company, Kellen to perform administrative work and daily operation. The staff at Kellen offers advice to APSA's board; however these staff do not hold a voting position on APSA's board or committees.
Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder	Membership is open to all health professionals throughout the world who are involved in service, teaching, or research concerned with the health and well-being of adolescents. There are different types of membership: Charter Member is qualified physician devoting a significant portion of his/her time to the medical care of adolescents. Charter members may vote. Regular members have the right to hold office and to vote at the annual business meeting. Honorary membership is bestowed upon an individual who has made outstanding contributions to either clinical, teaching or research aspects of the adolescent health. Approval must be made by the majority vote of the board of directors. Emeritus Membership is granted by action of the board of directors. They are unable to vote and are released from paying dues. Membership for Professionals-in-Training may apply for membership for their period of their training. Fellow Status must be received and is processed by a credentials review committee.
Form 990, Part VI, Line 7a: How Members or Shareholders Elect Governing Body	Regular and associate members may vote to elect the officers and the board of governors. These shall be elected by written ballot mailed by the nominating committee to the membership three months prior to the annual meeting and the nominees for each office obtaining the majority vote shall be elected.
Form 990, Part VI, Line 7b: Describe Decisions of Governing Body Approval by Members or Shareholders	Any exception for membership must have the majority approval of the board of governors and an affirmative vote by two-thirds of the voting membership at an annual meeting/business meeting. Honorary membership may be conferred upon a physician for outstanding contributions to pediatric surgery by unanimous vote of the board of governors and an affirmative vote by two-thirds of the voting membership attending the annual meeting/business meeting.Upon the recommendation of the membership and credentials committee and approval of the board of governors, the list of applicants shall be circulated to the membership-at-large twice per year for voting.Dues shall be set by the board of governors and approved by the membership at the annual meeting. Upon request for appeal, the membership present shall confirm or refute the recommendation of the board of governors by simple written majority vote. This vote shall be considered binding and final.The board shall pass recommendations on candidates for membership to the entire membership.Two-thirds vote of the membership voting at the annual meeting will be necessary for adoption of a change or amendment of the bylaws of the association.
