Return Reference Explanation
Uncertain Tax Positions Under FIN 48 (ASC 740) Schedule D, Part X, Line 2 The Corporation adopted the provisions of ASC 740-10, Accounting for Uncertainty in Income Taxes, on October 1, 2009. Under ASC 740-10, an organization must recognize the tax benefit associated with tax positions taken for tax return purposes when it is more-likely-than-not that the position will be sustained. The implementation of ASC 740-10 had no impact on the corporation's financial statements. The Corporation's management believes it has no unrelated business income and no material uncertain tax positions and accordingly, it will not recognize any liability for unrecognized tax benefits. For the tax years ended September 30, 2015 and 2014 the Corporation did not recognize any interest or penalties. The tax years ending September 30, 2012, 2013, 2014 and 2015 are still open to audit for both federal and state purposes.

Return Reference Explanation
Organization's Mission Form 990, Part III, Line 1 THE MISSION OF THE CORPORATION FOR PUBLIC BROADCASTING ("CPB") IS TO ENSURE UNIVERSAL ACCESS TO NON-COMMERCIAL, HIGH-QUALITY CONTENT AND TELECOMMUNICATIONS SERVICES FOR THE AMERICAN PEOPLE. IT IS CPB'S PARTICULAR RESPONSIBILITY TO ENCOURAGE THE DEVELOPMENT OF CONTENT THAT INVOLVES CREATIVE RISK AND THAT ADDRESSES THE NEEDS OF UNSERVED AND UNDERSERVED AUDIENCES, ESPECIALLY CHILDREN AND MINORITIES. CPB DOES THIS IN CONJUNCTION WITH NON-COMMERCIAL EDUCATIONAL RADIO AND TELEVISION LICENSEES ACROSS AMERICA WHO PROVIDE CONTENT AND SERVICES OVER THE AIR, ONLINE, AND IN THEIR COMMUNITIES. AUDITED FINANCIAL STATEMENTS FORM 990, PART IV, LINE 12 AND PART XII, LINE 2 CPB'S COMBINED FINANCIAL STATEMENTS INCLUDE THE ACCOUNTS OF LITERARY CLASSICS, INC. ("LCI"), A RELATED DISTRICT OF COLUMBIA NOT-FOR-PROFIT CORPORATION THAT IS ALSO EXEMPT FROM INCOME TAXES UNDER SECTION 501(C)(3) OF THE INTERNAL REVENUE CODE. FORM 990, PART IV, LINE 12A ASKS IF CPB RECEIVED SEPARATE, INDEPENDENT AUDITED FINANCIAL STATEMENTS; FORM 990, PART IV, LINE 12B ASKS IF CPB WAS INCLUDED IN CONSOLIDATED, INDEPENDENT AUDITED FINANCIAL STATEMENTS. PART XII, LINE 2 ASKS IF THE FINANCIAL STATEMENTS WERE ISSUED ON A SEPARATE OR CONSOLIDATED BASIS. WHILE THE CPB & LCI AUDITED FINANCIAL STATEMENTS ARE CONSIDERED TO BE COMBINED RATHER THAN CONSOLIDATED, CPB BELIEVES THAT RESPONDING "NO" TO FORM 990, PART IV, LINE 12A, "YES" ON LINE 12B, AND "CONSOLIDATED" TO FORM 990, PART XII, LINE 2, IS APPROPRIATE AS THE FORM 990 INSTRUCTIONS DO NOT DISTINGUISH BETWEEN THE TWO PRESENTATIONS. THE COMBINED FINANCIAL STATEMENTS RECEIVED AN UNQUALIFIED OPINION FOR THE FISCAL YEAR ENDED SEPTEMBER 30, 2015. Form 990 Review Process Form 990, Part VI, Line 11b THE FORM 990 IS PREPARED BY CPB'S OFFICE OF BUDGET AND FINANCE AND REVIEWED IN DETAIL BY THE CFO AND CPB'S INDEPENDENT ACCOUNTANTS. PRIOR TO FILING, COPIES OF THE COMPLETE FORM ARE PROVIDED TO OFFICERS AND DIRECTORS. THE CFO REVIEWS THE PRIMARY COMPONENTS OF THE FORM WITH CPB'S OFFICERS AND WALKS THE AUDIT & FINANCE COMMITTEE OF THE BOARD OF DIRECTORS THROUGH THE FORM.
Conflict of Interest Policy Monitoring & Enforcement Form 990, Part VI, Line 12c CPB EMPLOYEES ARE REQUIRED TO DISCLOSE POSITIONS HELD AS A DIRECTOR ON ANY OUTSIDE BOARD, OR AS MANAGER OR EMPLOYEE (INCLUDING SELF-EMPLOYMENT) WITH ANY ENTITY OTHER THAN CPB. EMPLOYEES ARE ALSO REQUIRED TO DISCLOSE POTENTIAL CONFLICTS OF INTEREST REGARDING ENTITIES WITH WHOM CPB DOES OR MAY DO BUSINESS. AN UPDATED DISCLOSURE FORM MUST BE COMPLETED ANNUALLY OR WHEN INFORMATION CHANGES. CPB'S CODE OF ETHICS AND CONFLICTS OF INTEREST POLICY FOR DIRECTORS REQUIRES DIRECTORS TO IMMEDIATELY DISCLOSE CONFLICTS OF INTEREST REGARDING ANY TRANSACTION WITH WHICH THE BOARD IS INVOLVED WHEN THE DIRECTOR BECOMES AWARE OF THE TRANSACTION. FURTHER, EACH BOARD AND BOARD COMMITTEE MEETING INCLUDES AN OPPORTUNITY FOR THE DIRECTORS TO DISCLOSE ANY POTENTIAL CONFLICTS OF INTEREST THAT MAY ARISE IN THE COURSE OF THE MEETING'S AGENDA. FINALLY, EACH DIRECTOR IS REQUIRED TO CERTIFY HIS OR HER COMPLIANCE WITH THESE POLICIES.
Process for Determining Compensation Form 990, Part VI, Line 15a COMPENSATION FOR CPB'S CEO, COO, CFO, GENERAL COUNSEL, CORPORATE SECRETARY, AND EVP IS RECOMMENDED BY THE CORPORATE GOVERNANCE & EXECUTIVE COMPENSATION COMMITTEE OF CPB'S BOARD OF DIRECTORS AND APPROVED BY THE FULL BOARD OF DIRECTORS. MANAGEMENT IS NOT REPRESENTED ON THE BOARD, MEMBERS OF WHICH ARE APPOINTED BY THE PRESIDENT OF THE UNITED STATES AND CONFIRMED BY THE U.S. SENATE. AN ANNUAL COMPENSATION ANALYSIS IS PREPARED BY AN INDEPENDENT COMPENSATION CONSULTANT FOR ALL VICE PRESIDENT AND ABOVE POSITIONS. THE ANALYSIS COMPARES COMPENSATION FROM MULTIPLE INDEPENDENT COMPENSATION SURVEYS. ANNUAL PERFORMANCE IS EVALUATED AGAINST OBJECTIVES SET AT THE BEGINNING OF THE YEAR FOR EACH POSITION, OTHER THAN THE CEO. PERFORMANCE IS DOCUMENTED IN A WRITTEN REPORT AND THE CEO MAKES COMPENSATION RECOMMENDATIONS TO THE CORPORATE GOVERNANCE & EXECUTIVE COMPENSATION COMMITTEE. THESE RECOMMENDATIONS ARE REVIEWED BY THE COMMITTEE WITH THE ASSISTANCE OF THE INDEPENDENT COMPENSATION CONSULTANT. THE EVALUATION OF THE CEO IS LED BY THE CORPORATE GOVERNANCE & EXECUTIVE COMPENSATION COMMITTEE AND THE CHAIR THEREOF. A DETAILED REPORT OF THE CEO'S ACCOMPLISHMENTS IS PROVIDED TO EACH MEMBER OF THE BOARD, ALONG WITH A PERFORMANCE QUESTIONNAIRE. INPUT FROM THE QUESTIONNAIRES IS CONSOLIDATED BY THE CONSULTANT AND REPORTED BACK TO THE FULL BOARD. THE CEO'S EVALUATION IS CONDUCTED BY THE BOARD IN EXECUTIVE SESSION. ALL PROCEEDINGS ARE DOCUMENTED IN THE FORM OF WRITTEN MINUTES AND COMPENSATION IS INCLUDED AS A FORMAL RESOLUTION OF THE BOARD FOR EACH OF THESE POSITIONS. THIS PROCESS IS FOLLOWED ANNUALLY. THE LAST SUCH MEETING WAS IN NOVEMBER 2014, WITH REVISED COMPENSATION EFFECTIVE IN JANUARY 2015.
How Documents are made Available to the Public Form 990, Part VI, Line 19 CPB MAINTAINS COPIES OF ITS GOVERNING DOCUMENTS, CODE OF ETHICS AND CONFLICTS OF INTEREST POLICY, FORM 990 AND AUDITED FINANCIAL STATEMENTS AT ITS OFFICES IN WASHINGTON, D.C.
