PART VI, SECTION A. - LINE 6	The Innis Arden Golf Club, Inc. (THE "CLUB") was incorporated as a membership organization.
PART VI, SECTION A. - LINE 7A	At the annual membership meeting the senior members shall elect a nominating committee which shall nominate candidates to fill vacancies on the board of governors a year hence. The nominating committee shall consist of five senior members (or spouses of senior members) who are ex-members of the board of governors, but are not members of the existing board of governors. A senior member (or spouses of senior members) who has served on the nominating committee for three consecutive years shall not be eligible for re-election in the next succeeding year. Candidates for the nominating committee shall be nominated from the floor, and the five candidates receiving the largest number of votes from senior members personally present shall be declared elected. The elected candidates receiving the largest number of votes shall be the chair of the nominating committee. The presiding officer shall have authority to close the nominations of the nominating committee when ten candidates have been named, and he/she shall be authorized to refuse to accept more than one nomination from any senior member. Not later than the fifteenth day of October of the year following the year in which they are elected, the nominating committee shall meet and furnish the secretary with a slate of candidates, and the secretary shall cause the same to be printed and mailed to each senior member at least 14 days before such meeting, together with a notice of the annual meeting.
PART VI, SECTION A. - LINE 7B	Per the Club's constitution the annual meeting of the Club is held for the approval of transactions of business and the election of governors.
