THIS PRONOUNCEMENT PRESCRIBES A RECOGNITION THRESHOLD AND MEASUREMENT ATTRIBUTE FOR THE FINANCIAL STATEMENT RECOGNITION AND MEASUREMENT OF A TAX POSITION EXPECTED TO BE TAKEN IN A TAX RETURN. IT ALSO PROVIDES GUIDANCE ON DERECOGNITION, CLASSIFICATION, INTEREST AND PENALTIES, ACCOUNTING IN INTERIM PERIODS, DISCLOSURE, AND TRANSITION. THE COMPANY HAD RECOGNIZED A LIABILITY FOR UNRECOGNIZED TAX BENEFITS. THE COMPANY IDENTIFIED AN UNCERTAIN TAX POSITION RESULTING FROM A FEDERAL PERMANENT DIFFERENCE FOR WHICH THE DEDUCTIBILITY WAS UNCERTAIN. SERVICE AREA THE ORGANIZATION'S ACTIVITY IS CONDUCTED WITHIN ITS LICENSED SERVICE AREA WHICH CONSISTS OF ALL OR PARTS OF NINE COUNTIES IN NORTHERN CALIFORNIA: SACRAMENTO, YOLO, PLACER, EL DORADO, SOLANO, COLUSA, MARIN, NAPA AND SONOMA. THE ADMINISTRATIVE ASPECTS OF THE ACTIVITY ARE CONDUCTED BY THE STAFF OF THE ORGANIZATION AT ITS HEADQUARTERS IN SACRAMENTO, CALIFORNIA. THE HEALTH BENEFITS PROVIDED THROUGH THE HEALTH COVERAGE CONTRACTS ISSUED BY THE ORGANIZATION ARE PROVIDED THROUGH THE PROVIDER NETWORK OF HOSPITALS, PHYSICIANS, CLINICS, THERAPISTS AND OTHER PROVIDERS THROUGHOUT THE ENTIRE SERVICE AREA. PROVIDER NETWORK THE ORGANIZATION'S MEDICAL SERVICES TO ITS ENROLLEES ARE PROVIDED THROUGH CONTRACTS WITH ITS MEMBER HEALTH SYSTEMS, WHICH, ALONG WITH SEVERAL UNAFFILIATED HOSPITALS AND PHYSICIAN GROUPS, FORM THE PROVIDER NETWORK FOR THE ORGANIZATION. THE MEMBER HEALTH SYSTEMS ARE WELL-RESPECTED ENTITIES IN THE ORGANIZATION'S GEOGRAPHIC REGIONS, WITH OVER NINE HOSPITAL FACILITIES AND NEARLY TWO THOUSAND AFFILIATED PHYSICIANS. ONE OF THE MEMBER HEALTH SYSTEMS IS THE ONLY ACADEMIC MEDICAL CENTER IN THE SACRAMENTO REGION, AND IS A GOVERNMENTAL ENTITY. THE ORGANIZATION IS CONNECTED WITH THE MEMBER HEALTH SYSTEMS AND THEY PROVIDE 75% OF MEDICAL SERVICES TO ITS ENROLLEES, WITH THE REMAINING 25% OF MEDICAL SERVICES BEING PROVIDED BY OTHER CONTRACTED PHYSICIAN GROUPS AND HOSPITALS. PRESCRIPTION DRUGS, BEHAVIORAL HEALTH, PEDIATRIC DENTAL AND VISION, AND CHIROPRACTIC/ACUPUNCTURE SERVICES ARE CONTRACTED OUT TO SPECIALTY ORGANIZATIONS. HEALTH COVERAGE PROMOTES SOCIAL WELFARE AS AN HMO, THE ORGANIZATION OPERATES EXCLUSIVELY FOR THE PROMOTION OF SOCIAL WELFARE BY PROMOTING THE COMMON GOOD AND GENERAL WELFARE OF THE COMMUNITY. ALTHOUGH THERE IS NO PRECISE DEFINITION OF THE TERM "SOCIAL WELFARE" FOR EXEMPT STATUS PURPOSES, THE TREASURY REGULATIONS PROVIDE THREE BASIC PRECEPTS: (1) SOCIAL WELFARE IS COMMENSURATE WITH THE "COMMON GOOD AND GENERAL WELFARE;" (2) SOCIAL WELFARE ALIGNS WITH "CIVIC BETTERMENTS AND SOCIAL IMPROVEMENTS; AND (3) THE PROMOTION OF SOCIAL WELFARE DOES NOT INCLUDE ACTIVITIES THAT PRIMARILY CONSTITUTE "CARRYING ON A BUSINESS WITH THE GENERAL PUBLIC IN A MANNER SIMILAR TO ORGANIZATIONS WHICH ARE OPERATED FOR PROFIT." ALL ENROLLEES ARE ENTITLED TO RECEIVE THE FULL RANGE OF BENEFITS DEFINED BY THE STATE AND FEDERAL GOVERNMENT AS "BASIC HEALTH CARE SERVICES OR "ESSENTIAL HEALTH BENEFITS," RESPECTIVELY. THE ORGANIZATION'S CFO AND FINANCE DIRECTOR WORK CLOSELY WITH THE OUTSIDE ACCOUNTING FIRM IT ENGAGES TO PREPARE AND REVIEW THE RETURN; AND REVIEWS THE DRAFT OF THE FORM 990 PRIOR TO PROVIDING THE DRAFT TO THE BOARD OF DIRECTORS.
FORM 990, PART VI, SECTION B, LINE 12 THE BYLAWS CONTAIN A PROVISION REQUIRING A STANDARD OF CARE THAT REQUIRES DILIGENCE, PRUDENCE AND GOOD FAITH. IN ADDITION, THE BYLAWS REQUIRE EACH DIRECTOR TO COMPLETE ANNUALLY A CONFLICTS OF INTEREST DISCLOSE STATEMENT AND TO IMMEDIATELY INFORM THE BOARD CHAIR OF ANY NEW CONFLICT THAT ARISES. FURTHER, A CONFLICT OF INTEREST POLICY AND PROCEDURES WAS ADOPTED IN JULY, 2015 WHICH EXPANDS ON THE BYLAWS PROVISIONS AND REQUIRES ANNUAL DISCLOSURE BY OFFICERS, DIRECTORS, AND KEY EMPLOYEES. MONITORING IS THROUGH REQUIRED REPORTING AS CONFLICTS ARISE. THE BOARD IS REQUIRED TO REVIEW ALL POTENTIAL CONFLICTS AND MAKE A DETERMINATION.

RELEVANT INFORMATION INCLUDES, BUT IS NOT LIMITED TO, COMPENSATION LEVELS PAID BY SIMILARLY SITUATED ORGANIZATIONS, BOTH TAXABLE AND TAX-EXEMPT, FOR FUNCTIONALLY COMPARABLE POSITIONS; THE AVAILABILITY OF SIMILAR SERVICES IN THE GEOGRAPHIC AREA OF THE APPLICABLE TAX-EXEMPT ORGANIZATION; CURRENT COMPENSATION SURVEYS COMPILED BY INDEPENDENT FIRMS; AND ACTUAL WRITTEN OFFERS FROM SIMILAR INSTITUTIONS COMPETING FOR THE SERVICES OF THE DISQUALIFIED PERSON.
