Form 990 Part VI Line 6 There are two types of voting members: Type 1 consist of hospitals, both general and special, licensed by the state of Illinois, where required by law. Type 1A consist of those general and special hospitals, otherwise eligible for Type 1 membership, that constitute operating units of multi-hospital systems holding Type V membership, the voting members are empowered to establish special assessments; to approve any amendments in the by-laws; to elect officers and at-large trustees of the Board; and to elect Illionis representatives to the American Hospital Associations House of Delegates.
Form 990 Part VI Line 7a See Line 6 above. In addition to at-large trustees, regional trustees are elected directly by each of the officially constituted regions of the Association by voting members located with the region. If a vacancy occurs for a regional trustee, the region is responsible for conducting a special election as soon as possible to fill the vacancy. If a vacancy occurs for an at-large trustee, delegate or alternative delegate to the American Hospital Association, the Board is empowered to select an individual to serve until the next annual meeting of the voting members, at which time an individual is elected for the unexpired term.
Form 990 Part VI Line 7b See line 7a above. In addition, the voting members are empowered to initiate policy proposals, but are not empowered to take final action until such proposals have been reviewed officially by the Board of Trustees and resubmitted to the voting members. At that time, they are empowered to reject, accept, or amend the resubmitted proposal.
Form 990 Part VI Line 11b The Association's Finance Staff, with assistance from the Legal Department, prepares the Form 990. The form is reviewed by the Association's outside tax consulting firm, KPMG. After KPMG's review, the final verson is then further reviewed, and signed by the Associations Chief Financial Officer. A copy of the return is sent to the Association's Board of Trustees and Finance and Audit Committee prior to filing.
Form 990 Part VI Line 12c Conflict of interest survey forms are completed annually by officers, trustees and key employees. Employee's submitting contracts for approval disclose known relationships between the contracting entities. All disclosed conflicts are reviewed by the Legal department and if deemed significant, reported to the Finance and Audit Committee and Board. Any of the foregoing could impose restrictions deemed necessary on employee and contractual activities. the Board would determine necessary restrictions for conflicts involving a Trustee.
Form 990 Part VI Line 15a A compensation committee, comprised of the Executive Committee of the Board of Trustees, is responsible for reviewing and approving the compensation of the IHA's CEO and other officers and key employees. An independent compensation consultant, as well as compensation studies of other similar organizations are utilized in the process.
Form 990 Part VI Line 19 Illinois Hospital Association makes its governing documents, conflict of interest policy, and financials statements available upon request.
Form 990 Part VII Line Section A Line 1 For the ease of benefit administation and payroll tax reporting requirements, Illinois Hospital Association serves as the payroll administrator for all employees of the Association and its related subsidiary corporations. Certain officers, key employees, and highest compensated employees provide services, such as accounting and information technology support, and direct program oversight to our subsidiary organizations, Association Venture Corporation (AVC) and Illinois Hospital Reserach and Educational Foundation (IHREF). Time spent on subsidary activities by these certain employees ranges from 5% to 100%. IHA is fully reimbursed for these services for by AVC.
