| Form 990, Part VI, Section A, line 6 | The organization has four types of members: BUILDER: Any individual who operates or is employed by a firm, partnership, corporation, or other recognized business entity in the business of building, remodeling or land development, holds current credentials required by the state of Wisconsin to obtain building permits and meets the membership requirements as prescribed in the Association Policy Manual, shall be eligible to be a Builder member. ASSOCIATE: Any individual who operates or is employed by a firm, partnership, corporation, or other recognized business entity who wishes to join the Association and does not meet the definition outlined for Builder member, and is not inconsistent with the objectives of this Association and meets the membership requirements as prescribed in the Association Policy Manual, shall be eligible to be an Associate member. AFFILIATE: Any individual who is an employee of a firm represented by a Builder or Associate member as defined in Article IV, Section 1, (A) or (B) of these Bylaws and meets the membership requirements as prescribed in the Association Policy Manual, shall be eligible to be an Affiliate member. HONORARY: Any individual who distinguishes himself or herself by meritorious service to the Association, and who is no longer engaged in the activities of the other membership categories (as defined in Article IV, Section 1, (A), (B) or (C), may be elected by a 2/3 vote of the Board of Directors to be an Honorary member. |

| Form 990, Part VI, Section B, line 12c | ON AN ANNUAL BASIS, EACH MEMBER OF THE BOARD OF DIRECTORS IS PROVIDED A COPY OF THE CONFLICT OF INTEREST POLICY, AND IS REQUIRED TO COMPLETE AND SIGN THE ACKNOWLEDGEMENT AND DISCLOSURE FORM. The board of directors recognizes that conflicts of interest are not uncommon, and that not all conflicts of interest are necessarily harmful to HBA Fox Cities. However, the board requires full disclosure of all actual and potential conflicts of interest. Each Covered Official shall disclose any and all facts that may be construed as a conflict of interest, both through an annual disclosure process and whenever such actual or potential conflict occurs. The board of directors will determine whether or not a conflict of interest exists, and whether or not such conflict materially and adversely affects the interests of HBA Fox Cities. A Covered Official whose potential conflict is under review may not debate, vote, or otherwise participate in such determination. If the board of directors determines that an actual or potential conflict of interest does exist, the board shall also determine an appropriate remedy. Such remedy may include, for example, the recusal of the conflicted Covered Official from participating in certain matters pending before the board or other HBA Fox Cities body. |
