Kathryn Gage served as a director of WFI during the fiscal year ended June 30, 2016. WWP Strategies, Inc. was paid for services of Heather Greenaway through the management fee. WWP RECEIVED A MANAGEMENT FEE TOTALING $64,750. MS. GREENAWAY and Ms. Gage PROVIDED SERVICES TO MULTIPLE CLIENTS OF WWP. CLIENTS OF WWP GENERALLY PAY FIXED RETAINER AMOUNTS. WFI PAID WWP CONSIDERABLY LESS THAN THE CONTRACTED AMOUNT FOR SERVICES. AS A CONSEQUENCE, NEITHER WWP NOR WFI CAN DETERMINE WHAT PORTION OF THE COMPENSATION OF THE OFFICER WAS ATTRIBUTABLE TO SERVICES PERFORMED FOR WFI. |

After the disclosure of a potential conflict and all material facts, the Board of Directors or relevant committee will determine whether a conflict of interest exists, although the interested person may not be present during this determination.
