Form 990, Part VI, Section A, Line 1a	The Directors shall elect a Nominating Committee, the majority of whom shall be members of the Board of Directors. The function of the Nominating Committee shall be to submit nominations to the Directors for all officers of the Corporation. The Nominating Committee shall also submit to the Directors nominations for the office of Director when vacancies occur. There shall be such standing and such ad hoc committees as the Directors may, from time to time, determine. The Chairman of the Board and the President shall be ex-officio members of all standing committees. The Bylaws Committee shall be composed of the Principal and at least two members of the Board of Directors. The Bylaws Committee shall have the responsibility to review annually and recommend changes in the Bylaws of ESMC Title Holding Corporation to the full Board of Directors. The Committee shall meet as needed, but not less than once a year.
