A conflicted board member may not be counted in determining a quorum for the meeting in connection with the conflicted matter.3.No Board member shall derive any personal profit or gain for themselves, their relatives or friends, directly or indirectly, by reason of his or her participation with the ELCFH except as otherwise agreed to by three quarters of the voting members of the Board.4.Each year, ELCFH Board members will submit an annual statement, agreeing to these General Principles and disclosing any potential conflicts. | Form 990, Part VI, Line 15b: Compensation Review and Approval Process for Officers and Key Employees | a.The Executive Director is reviewed annually by the ELCFH Board of Directors. At that time, compensation is reviewed (not to exceed a 5% increase as stated in ELCFH employee policy) and the Executive Director contract is reviewed for the upcoming year. The Executive Director salary is compared to other like position salaries every three years. b.All ELCFH employees are reviewed annually using the approved ELCFH Employee Performance Review tool. Increases are determined based on the average score from the completed tool (not to exceed 4%). A comparison study of salaries is completed every three years to ensure equity of salary. |
