THE OFFICER LISTED IN PART VII, DANIEL EUDENE, IS PAID BY THE PEO. HIS CALENDAR YEAR 2015 COMPENSATION IS REPORTED IN PART VII, SECTION A. | FORM 990, PART VI, SECTION B, LINE 11 | THE DRAFT 990 SHALL BE CIRCULATED TO THE BOARD FOR REVIEW VIA E-MAIL PRIOR TO SUBMISSION TO THE IRS WITH THE EXCEPTION THAT TWO BOARD MEMBERS WITHOUT E-MAIL WILL RECEIVE A PRINTED COPY OF THE DRAFT FORM 990. |
| FORM 990, PART VI, SECTION B, LINE 12C | EMPLOYEES HAVE AN OBLIGATION TO CONDUCT BUSINESS WITHIN GUIDELINES THAT PROHIBIT ACTUAL OR POTENTIAL CONFLICTS OF INTEREST. THIS POLICY ESTABLISHES ONLY THE FRAMEWORK WITHIN WHICH RNH WISHES THE BUSINESS TO OPERATE. THE PURPOSE OF THESE GUIDELINES IS TO PROVIDE GENERAL DIRECTION SO THAT EMPLOYEES CAN SEEK FURTHER CLARIFICATION ON ISSUES RELATED TO THE SUBJECT OF ACCEPTABLE STANDARDS OF OPERATION. CONTACT THE EXECUTIVE DIRECTOR FOR MORE INFORMATION OR QUESTIONS ABOUT CONFLICTS OF INTEREST. AN ACTUAL OR POTENTIAL CONFLICT OF INTEREST OCCURS WHEN AN EMPLOYEE IS IN A POSITION TO INFLUENCE A DECISION THAT MAY RESULT IN A PERSONAL GAIN FOR THAT EMPLOYEE OR FOR A RELATIVE AS A RESULT OF RNH'S BUSINESS DEALINGS. FOR THE PURPOSES OF THIS POLICY, A RELATIVE IS ANY PERSON WHO IS RELATED BY BLOOD OR MARRIAGE, OR WHOSE RELATIONSHIP WITH THE EMPLOYEE IS SIMILAR TO THAT OF PERSONS WHO ARE RELATED BY BLOOD OR MARRIAGE. PERSONAL GAIN MAY RESULT NOT ONLY IN CASES WHERE AN EMPLOYEE OR RELATIVE HAS A SIGNIFICANT OWNERSHIP IN A FIRM WITH WHICH RNH DOES BUSINESS, BUT ALSO WHEN AN EMPLOYEE OR RELATIVE RECEIVES ANY KICKBACK, BRIBE, SUBSTANTIAL GIFT, OR SPECIAL CONSIDERATION AS A RESULT OF ANY TRANSACTION OR BUSINESS DEALINGS INVOLVING RNH. ALL TRANSACTIONS, AGREEMENTS OR ANY OTHER ARRANGEMENTS BETWEEN THE CORPORATION AND A RELATED PARTY, AND ANY OTHER TRANSACTIONS WHICH MAY INVOLVE A POTENTIAL CONFLICT OF INTEREST, SHALL BE REVIEWED BY THE BOARD OR AUTHORIZED BOARD COMMITTEE. ALL RELATED PARTIES WITH A FINANCIAL INTEREST SHALL LEAVE THE ROOM IN WHICH SUCH DELIBERATIONS ARE CONDUCTED. THE BOARD [COMMITTEE] WILL THEN DETERMINE WHETHER THE CONTEMPLATED RELATED PARTY TRANSACTION IS FAIR, REASONABLE, AND IN THE BEST INTERESTS OF THE CORPORATION AT THE TIME OF SUCH DETERMINATION. THE CORPORATION WILL NOT ENTER INTO ANY RELATED PARTY TRANSACTION UNLESS IT IS DETERMINED TO BE FAIR, REASONABLE AND IN THE BEST INTEREST OF THE CORPORATION AT THE TIME OF SUCH DETERMINATION. |
| FORM 990, PART VI, SECTION B, LINE 15A | THE BOARD SETS THE COMPENSATION FOR THE EXECUTIVE DIRECTOR EVERY FALL - USUALLY IN NOVEMBER. THE PERSONNEL COMMITTEE USES THE MOST RECENT COMPENSATION SURVEY FROM UNITED NEIGHBORHOOD HOUSES (UNH) WHICH IS DONE EVERY OTHER YEAR. IT SHOWS SALARIES BY ORGANIZATION BUDGET, NUMBER OF EMPLOYEES AND OTHER FACTORS TO SHOW AVERAGES FOR BOARDS TO USE. IF NECESSARY, THEY WILL DRAW INFORMATION FROM OTHER SOURCES SUCH AS THE SURVEY BY PROFESSIONALS FOR NONPROFITS, NONPROFIT TIMES, AND OTHERS. AFTER DETERMINING A RECOMMENDATION, THE PERSONNEL COMMITTEE PRESENTS TO THE FULL BOARD IN EXECUTIVE SESSION AND HAS A VOTE MADE BY MOTION AND APPROVAL. THERE ARE TWO DEPUTY DIRECTOR POSITIONS AT RNH - YOUTH SERVICES AND CHILDREN'S SERVICES. THESE STAFF DIRECTLY MANAGE SPECIFIC PROGRAMS AND ALSO PROVIDE SUPPORT FOR DECISION MAKING FOR THE EXECUTIVE DIRECTOR. THEY ARE A BLEND OF PROGRAM AND ADMINISTRATION AND SO THEIR SALARY LEVEL IS ASSESSED USING THE UNH SURVEY INFORMATION FOR BOTH DEPUTY AND PROGRAM DIRECTORS. THE EXECUTIVE DIRECTOR DETERMINES A RECOMMENDED SALARY FOR THESE POSITIONS WHICH ARE REVIEWED AND ARE APPROVED (AS IS OR AS AMENDED) PRIOR TO THE CHANGE IN RATE. THE EXECUTIVE DIRECTOR SETS NEXT LEVEL SALARY LEVELS WITH THE TWO DEPUTY DIRECTORS. IN ADDITION TO UNH, WE ALSO USE INFORMATION FROM OTHER COLLEAGUES WITH SIMILAR SERVICES. SALARY LEVELS ARE REVIEWED ON AN ANNUAL BASIS - DURING THE BUDGET PROCESS IN THE SPRING FOR MOST STAFF AND IN NOVEMBER FOR THE EXECUTIVE DIRECTOR. THE BOARD MINUTES DOCUMENTS THE COMPENSATION APPROVAL FOR THE EXECUTIVE DIRECTOR. THE DETAILED APPROVAL IS SENT TO THE FISCAL OFFICE FROM THE PERSONNEL CHAIR. |
| FORM 990, PART VI, SECTION C, LINE 19 | THE ORGANIZATION MAKES ITS FORM 990 AVAILABLE FOR PUBLIC INSPECTION AS REQUIRED UNDER SECTION 6104 OF THE INTERNAL REVENUE CODE. THE RETURN IS POSTED ON GUIDESTAR.ORG AND OTHER SIMILAR TYPES OF WEBSITES.
