The General Counsel of SIA shall be an advisory nonvoting member of the Executive Committee. The Executive Committee shall act as, and exercise all powers of, the Board from time to time between meetings of the Board, to the extent permitted by Part III of Title 15 of the Pennsylvania Statutes, as amended from time to time.

Associate members shall not have the right to vote, nor shall representatives of associate members be qualified to serve as officers or directors of SIA. Associate members shall have the right to receive membership communications from SIA; to be admitted into the SIA trade show for the sole purpose of viewing; to use the SIA Sports Exposition logo; and to apply for exhibition space at the SIA Sports Exposition. Sustaining members shall not have the right to vote, nor shall representatives of firms holding only sustaining memberships be qualified to serve as officers or directors of SIA. Sustaining members shall have the right to receive membership communications from SIA; to be admitted into the SIA trade show and sports exposition for the sole purpose of viewing; to use the SIA logo; and to petition specially for exhibition space or special display areas at the SIA Sports Exposition or in the SIA trade show.

Form 990, Part VI, Section B, line 11 The Form 990 was reviewed by the CFO and the Accounting Manager of the organization. A copy of the approved return was subsequently sent electronically to all board members prior to filing.
Form 990, Part VI, Section B, line 12c Annually the officers, directors and key employees are reviewed to insure there are no conflicts of interest with the operations of the SIA. If a conflict is identified it is brought to the executive committee. The executive committee would then impose a restriction or discontinue the relationship.
Form 990, Part VI, Section B, line 15a Compensation of the CEO is negotiated by the board Chairman and others of the Executive Committee and is agreed to contractually. Compensation for key employees is determined by the CEO, using comparability surveys with other similar associations.
