Pursuant to IRC Bylaws and Board Governance Guidelines, Committee members are nominated by the Nominating and Governance Committee and presented to the full Board for approval at the Annual Meetings. All Compensation Committee members are independent, uncompensated members of the Board. The Compensation Committee meets annually to review the performance of and determine compensation for the President CEO. In addition, the Committee reviews compensation for the Senior executive team which includes Officers and Key Employees.
