Fin 48 (ASC 740) Footnote Part X, Line 2 National Cattlemen's Building Corporation (NCBC) is part of a consolidated group of entities under National Cattlemen's Beef Association, Inc. (NCBA OR THE ASSOCIATION). The NCBA's consolidated financial statements include the following note: NCBA is exempt from income taxation under Section 501(c)(6) of the Internal Revenue Code. NCBC is exempt from income taxation under Section 501(c)(2) of the Internal Revenue Code. NCBA had no significant unrelated business income during the years ended September 30, 2016 or 2015. NCBA applies a more likely than not measurement methodology to reflect the financial statement impact of uncertain tax positions taken or expected to be taken in a tax return. NCBA has concluded that there are no uncertain tax positions taken that would require recognition of a liability or disclosure in the financial statements as of September 30, 2016 and 2015. If incurred, interest and penalties associated with tax positions are recorded in the period assessed as general services and administration expense. No interest or penalties have been assessed as of September 30, 2016 and 2015. Tax years that remain subject to examination include 2012 through 2016.

Part VI, Section A, Line 1a Executive Committee Per the organization's bylaws the Board of Directors may, subject to limitations imposed by said bylaws, designate from among its members an executive committee which shall have and may exercise all of the authority of the Board of Directors in the management of the Corporation, except that no committee shall: a) authorize distributions; b) approve or propose to shareholders action that requires approval of or by shareholders; c) fill vacancies on the Board of Directors or on any of its committees; d) amend the Articles of Incorporation; e) adopt, amend, or repeal said bylaws; f) approve a plan of merger not requiring shareholder approval; g) authorize or approve reacquisition of shares, except according to formula or method prescribed by the Board of Directors; or h) authorize or approve the issuance or sale of shares, or a contract for the sale of shares, or determine the designation and relative rights, preferences, and limitations of a class or series of shares. With respect to (h) the Board of Directors may authorize a committee to do so within limits specifically prescribed by the Board. At this time no such executive committee has been designated.
