    ORGANIZATION DID NOT FILE ON TIME AS THE ORGANIZATION WAS IN THE PROCESS OF COORDINATING WITH LEWIS & CLARK COLLEGE REGARDING THE ASSET MANAGEMENT AND/OR FURTHERING THE ORGANIZATION'S NEW MISSIONS FOR PROVIDING EDUCATIONAL SCHOLARSHIPS TO STUDENTS. HOWEVER, THE CORRESPONDENCE AND CORDINATION WITH THE COLLEGE, AS WELL AS LEGAL AND TAX ADVISORS WAS VERY TIME CONSUMING AND ULTIMATELY NOT RESOLVED IN TIME FOR THE ORGANIZATION TO TIMELY FILE A TAX RETURN. THE ORGANZIATION'S UNDERSTANDING WAS THAT THE ASSETS WOULD BE TRANSFERRED OR POSSIBLY MERGED WITH THE COLLEGE RESULTING IN NO FURTHER TAX RETURNS REQUIRED TO BE FILED. BECAUSE THE LEGAL MATTERS HAVE NOT BEEN RESOLVED YET WITH THE TRANSFERRING OF THE ORGANIZATION'S ASSETS, THIS TRANSITION HAS NOT YET BEEN COMPLETED.
