Copley Hospital provides quality medical healthcare regardless of race, creed, sex, national origin, handicap, age or ability to pay. Although reimbursement is critical to the hospital, it is recognized that not all individuals possess the ability to purchase essential medical services. Further, our mission is to serve the community with respect to providing healthcare services and healthcare education in keeping with the hospital's commitment to serve all members of its community. The Hospital offers free care and or subsidized care, care provided to persons covered by governmental programs at below cost, and health activities and programs to support the community and are considered where the need and/or individual's inability to pay coexists. These activities include a variety of services in the form of seminars, workshops, clinics, and screenings at minimal or no charge.

Part V, Section B, Line 5: In March 2015, Copley Hospital engaged Toby Knox and Associates LLC (TKA) to conduct market research pertaining to Copley's Community Healthcare Needs Assessment. This assessment was designed to fulfill the requirements of the Federal Patient Protection and Affordable Care Act (PPACA) and to help Copley Hospital to fulfill its mission, specifically to improve the health status of the people of the community by providing the highest quality of care regardless of ability to pay.The assessment process invited feedback from community members and stakeholders as well as reviewing relevant data and publications published by government and non-profit agencies from within the Copley community and statewide.Copley Hospital conducted this Community Health Needs Assessment in collaboration with the Morrisville District Office of the Vermont Department of Health (VDH), working specifically with Field Director Valerie Valcour and the Copley Hospital Service Area Blueprint for Health Community Health Team. The research effort utilized three data gathering techniques:SurveyingIn April 2015, an online survey tool was developed with Valcour and Knox to solicit input from throughout our community. The online survey tool was promoted in May via community newspapers, social media, Front Porch Forum and distributed by email to Copley Hospital board members, corporate members, employees, and community opinion leadersQualitative ResearchIn May and June 2015, three focus groups were conducted by Toby Knox, principal of Toby Knox & Associates, LLC, with seniors at Copley Terrace, participants in the Reach UP program and members of the extended Blueprint for Health Community Health Care Team. Secondary Data ReviewCopley Hospital also conducted an environmental scan of the healthcare landscape by reviewing relevant reports presented by public health and local non-profit agencies, including the Vermont Department of Health, Blueprint for Health and the County Health Rankings for Lamoille County. In addition, Copley utilized CommunityCommons.org, an online between Institute for People, Place and Possibility with the Center for Applied Research and Environmental Systems (CARES) at University of Missouri and Community Initiatives. Copley Hospital, Inc. Part V, Section B, Line 7d: The CHNA was distributed to the Hospital's Board of Trustees along with the Copley Hospital Service Area Blueprint for Health Community Health Team as well as the Copley Hospital Service Area Unified Community Collaborative (UCC) and other social service organizations. Copley Hospital, Inc. Part V, Section B, Line 11: The Board of Trustees reviewed and adopted the CHNA Implementation Plan in February 2016. The plan reflects the recommendations of the Steering Committee. The Steering Committee identified the following three needs for the Hospital's implementation plan: reducing the cost of healthcare by reducing preventable hospital visits; chronic health conditions, with a focus on obesity, diabetes related issues; and preventive care with a focus on alcohol, tobacco, and depression screening. The Hospital connects patients presenting in the emergency department that do not have a primary care physician (PCP) to a community health team member for assistance in securing a PCP. All "well woman and maternal care patients are screened for tobacco, alcohol and depression. Patient and family services team members refer patients to appropriate resources to address chronic health issues beyond the Hospital's scope in addition to other social determinants of health. The Hospital continues to strengthen transitions in care, collaborating with primary care providers, home health, long term skilled nursing facilities and mental health services, to support preventive care and chronic health conditions. As one of the largest employers in the area, Copley's employee health program is focusing on reducing obesity within our employee population. The Hospital created and is hosting a collaborative community blog, LiveWellLamoille.com, that is designed to address all the social determinants of health with a goal of providing tips, resources and encouragement to help residents make healthy choices. Healthy choices lead to a healthier lifestyle. The need for better more reliable transportation; the lack of facilities or options for people to exercise and choose healthy eating habits; and poverty and the lack of affordable housing were among other issues also identified. The Hospital may monitor, but will not generally address additional issues unless specified in the implementation plan. This is because the Hospital does not have the expertise needed; or the necessary actions fall more appropriately to the responsibility of others; or suitable efforts are individuals modifying personal behavior rather than the efforts of a healthcare organization; and/or the Hospital's limited resources prevent additional response to other issues.

Part I, Line 7: A cost accounting system was used to calculate the amounts reported in the table. The cost accounting system addresses all patient segments. A cost-to-charge ratio was used. The ratio was derived from Worksheet 2.
Part III, Line 4: Patient accounts receivable are stated at the amount management expects to collect from outstanding balances, and thus are reduced by an allowance for doubtful accounts. In evaluating collectibility of accounts receivable, the Hospital analyzes its past history and identifies trends for each of its major payor sources of revenue to estimate the appropriate allowance for doubtful accounts and provisions for bad debts. Management regularly reviews data about these major payor sources of revenue in evaluating the sufficiency of the allowance for doubtful accounts. For receivables associated with services provided to patients who have third-party coverage, the Hospital analyzes contractually due amounts and provides an allowance for doubtful accounts and a provision for bad debts, if necessary (for example, for expected uncollectible deductibles and copayments on accounts for which the third-party payor has not yet paid, or for payors who are known to be having financial difficulties that make the realization of amounts due unlikely). For receivables associated with self-pay patients (which includes both patients without insurance and patients with deductible and copayment balances due for which third-party coverage exists for part of the bill), the Hospital records a provision for bad debts in the period of service on the basis of its past experience, which indicates that many patients are unable or unwilling to pay the portion of their bill for which they are financially responsible. The difference between the standard rates (or the discounted rates if negotiated) and the amounts actually collected after all reasonable collection efforts have been exhausted is charged off against the allowance for doubtful accounts. There were no significant changes to the allowance for doubtful accounts in 2016 or 2015.The Organization utilized a cost to charge ratio as the costing methodology used to determine the amount of bad debt expense at cost.
Part III, Line 9b: Financial Assistance is available to guarantors who meet the eligibility requirements. Income level, household size, residency status, etc, determine eligibility. Federal Poverty Level guidelines are utilized to determine the amount of assistance a household may be eligible for. For the patient's convenience, all statements have an abbreviated version of the Financial Assistance Application on the back.
Part VI, Line 2: Copley gathers and analyzes information about the greater Lamoille Valley community and its healthcare needs through various means, including: analyzing and responding to health trends in our patients; through aggregate data from our Quality and Wellness initiatives, the OneCare Vermont Accountable Care Organization, and the Copley Service Area Blueprint for Health Program. We also review relevant data published by the Vermont Dept. of Health, Green Mountain Care Board, Vermont Department of Health and Federal Centers for Disease Control.The Hospital is governed by a volunteer board of trustees made up of local citizens representing a cross section of the community served. We maintain involvement in a number of community groups within our service area. Copley continues to work collaborative with other organizations to identify and address community health needs. Our collaborations include but are not limited to the Extended Community Health Team of the Copley Area Blueprint for Health (including primary care practices), Lamoille Home Health and Hospice, The Manor (long term residential care), Lamoille County Mental Health, CHSLV Behavioral Health and Wellness, Healthy Lamoille Valley, People in Partnership, the Morrisville District office of the Vermont Department of Health, United Way and Leadership Lamoille through the Lamoille Chamber of Commerce.
Part VI, Line 3: Information about Copley's Charitable Care policy, which includes helping patients apply for assistance under federal, state or local government programs, is posted by each registration desk (Main Lobby and Emergency Department). It is also available, along with the application form, online on the Hospital's website in addition to the "Hospital Report Card" website of the Green Mountain Care Board. Details are also included in the Patient Guide for inpatients, families and visitors.Copley's Charitable Care program is also promoted in our philanthropy efforts as many donors give to the program. All care providers may refer patients to the Hospital's Patient Financial Services counselors or to Patient and Family Services to connect them to assistance.
Part VI, Line 4: Copley Health Systems, Inc. is an essential health care resource in the rural greater Lamoille County area of Vermont. We are located in the heart of one of the state's popular 4-season recreational resort areas and serve Johnson State College. Our services include Copley Hospital, a 25-bed Critical Access community hospital, low-income elderly housing, and an independent living facility.Our Hospital Service Area, as defined by the 2010 U.S. Census, has a population of just over 30,000 people, across more than 459 square miles. Our service area includes all of the towns and villages of Lamoille County, and parts of Caledonia and Orlean Counties. Towns with the most population include Morristown, Stowe, Johnson, and Cambridge; all others have less than 3,000 residents.The major industry in the area is Accommodations and Food Service, representing 25% of the jobs, followed by Health and Social Assistance (15%), Retail Trade (13%), and Education (11%), according to the Vermont Department of Labor. Copley Hospital is one of the largest year-round employers in the area.In the 2015 County Health Rankings by the University of Wisconsin Population Health Institute and the Robert Wood Johnson Foundation, Lamoille County is ranked #8 out of the 14 counties for health factors. This ranking is based on a combination of health behavior measures (tobacco use, diet/exercise, alcohol use, sexual activity), clinical care measures (access, quality), socio-economic factors (education, employment, income, family/social support, community safety) and environmental measures (air quality and the built environment). County Health Rankings also have Lamoille County ranked #4 out of the 14 counties for Health Outcomes. This ranking is based on a combination of morbidity measures (poor or fair health, poor physical health days, poor mental health days, low birthweight) and mortality (premature death).Lamoille County is one of the few counties in Vermont whose population of people younger than 18 years of age is growing. We have a higher rate of poverty compared to the state. Nearly a third of our area residents are below 200% of poverty level. Fourteen percent of our population is 65 years old or older.
Part VI, Line 5: Copley Hospital serves all patients, regardless of ability to pay. Services include 24 hour/7days a week emergency services, women's and children's services, general surgery, laboratory services, and diagnostic imaging, and orthopaedics. We provide services for community residents whose next nearest hospital may be an hour away in good weather. Copley Hospital regularly promotes healthy lifestyle choices and preventive information via social media outlets, including a collaborative community blog LiveWellLamoille.com, community newsletters, and information distributed on the hospital campus. We promote and support healthy, family-friendly activities and events to encourage healthy choices for a healthy lifestyle. Grant funding to Healthy Lamoille Valley was used to promote policy and community change around substance abuse, including the purchase of signage to reinforce and set a clear expectation of substance free zones on school property; support for a comprehensive program to educate the community about safe storage and disposal of prescription medicines to reduce accidental and purposeful misuse; and materials/social hosting to share information to assist in the prevention of underage drinking. The Hospital also contributed to the Town of Morristown's free bicycle share program to promote exercise and an alternative form of transportation.

Part I, Line 5 Bryan Huber, Brian Aros, and John Macy, highest compensated employees, received bonuses of $57,082, $4,932, & $25,586, respectively. The bonuses were based upon the gross revenue produced individually for the Hospital. The bonus is triggered when the individual produces a certain level of revenue. The bonus is 20% of the excess revenue produced over that level. There is a cap on the amount of bonus the individual can receive.

Form 990, Part VI, Section A, line 6 Copley Hospital, Inc. is a member organization whose sole corporate member is Copley Health Systems, Inc. Copley Health Systems, Inc. and the Hospital share the same board of trustees.
Form 990, Part VI, Section A, line 7a Copley Hospital, Inc. shares the same board as Copley Health Systems, Inc. Each year, the members of Copley Health Systems, Inc. will hold an annual meeting. The purposes of the annual meeting shall include the election of members to the Corporation, the election of Trustees to the Corporation's Board of Trustees, the election of the community member at large of the governance and bylaws committee, and the transaction of such other business as may properly come before the membership. The Board shall consist of up to twenty-one elected members, the Chief Executive Officer of the Corporation and the President of the Medical Staff of Copley Hospital, Inc., all as voting members. All Trustees must be members of the Corporation.
Form 990, Part VI, Section B, line 11 The finance committee reviews the Form 990 prior to submission. A complete copy of the form is made available to all members of the governing body through the finance office.
Form 990, Part VI, Section B, line 12c The Governance Committee reviews the statements and surveys completed by interested persons and maintains a list of individuals who may be considered disqualified persons under IRS regulations. The Governance Committee reports the results of its reviews annually to the Board. The internal Compliance Committee of the Corporation reviews any potential conflict of interest which involves an interested person who is not a trustee or officer of the Corporation.
