| Form 990, Part VI, Section A, line 4 | The Organization made the following changes to the bylaws during the fiscal year: -Method of Election: The Executive Committee of the Board of Directors shall nominate individuals of the Board of Directors. -Term of Office: Terms of Directors shall be staggered to minimize the number of Directors that turn over in one (1) year. -Removal: Not less than seven (7) days written notice shall be required for any meeting at which the removal of a Director is to be discussed and/or approved. -Vacancies: In the event a vacancy occurs in the Board of Directors from any cause, an interim Director shall be nominated by the Executive Committee. -Informal Action by Directors: May be taken without a meeting if a consent in writing setting forth the action so taken shall be signed by two-thirds (2/3) of the Directors entitled to vote with respect to the subject matter thereof. -Compensation: Directors of the corporation may receive compensation for personal services rendered which are reasonable and necessary to carrying out the tax-exempt purposes of the corporation. -Compensation: In addition, Directors may receive reimbursement for actual expenses incurred in connection with corporation matters. -Conflict of Interest: In addition, her or she shall not use his or her personal influence to affect the outcome of the matter. -The Chair: The Chair shall call and preside at all meetings of the Board of Directors, shall be, ex officio, a voting member of all committees, and shall appoint all committee members of the Board of Directors. -The Secretary: The secretary shall: formally certify that minutes taken by a staff member are correct, see that all notices are duly given in accordance with the provisions of these Bylaws or as required by law, in generally perform all duties incident to the office of secretary and such other duties as from time to time may be assigned by the Chair or by the Board of Directors. -Written Request: A Director or Officer who seeks indemnification under section 5.01 or 5.02 shall make a written request to the Chief Financial Officer of the corporation. -By the Directors: These bylaws may be altered, amended or repealed with proper notice that the purpose of the meeting is to consider a proposed amendment and new bylaws may be adopted by the board of directors at any regular or special meeting thereof. -Presumption of Assent: Effect of Attendance of Participation: A director's attendance at or participation in a meeting waives any required notice of the meeting unless the director upon arriving at the meeting or before the vote on a matter not noticed in conformity with this chapter, the articles of incorporation or the bylaws objects to lack of notice and does not thereafter vote for or assent to the objected action. |
