| Schedule A, Part II, Line 17a, Facts and Circumstances Test: | Facts and Circumstances to be Considered a Publicly Supported Organization Under 509(a)(1) For the Year Ended June 30, 2016 Williston State College Foundation fails to meet the public support test for the years ended July 1, 2015 through June 30, 2016. However, based on the following facts and circumstances, the organization should continue to be recognized as a publicly supported organization under Internal Revenue Code Section 509(a)(1). Ten-Percent of Support: The total amount of public support for the organization during the above mentioned period is 20.07%. Therefore, the total public support is greater than the required 10%. Attraction of Public Support: The Williston State College Foundation has actively been soliciting for community donations to increase the level of support that they can provide to the Williston State College. Enrollment numbers have been increasing at the Williston State College, and with increased enrollment, the Foundation has found that there are more scholarship and other needs to support the Williston State College. The Foundation currently has been soliciting donations by sending out mailings to alumi and other potential donors to take advantage of the North Dakota Higher Education Challenge Grant and the North Dakota tax credit on endowment gifts. They are also soliciting gifts for naming opportunities for suites at Frontier Hall. This will be a three year campaign. The Foundation solicits from a broad source of supporters and not just a select few individuals. Sources of Support: Williston State College Foundation does not receive support from a single family; rather it receives support from members of the general public. The organization received a portion of its support from individuals in the community. Representative Governing Body: Williston State College Foundation has a diverse group of community members serving on their governing body that represents the interest of the public; it does not represent the interests of the donors of Williston State College Foundation. These representatives ensure that the organization promotes and supports Williston State College as part of its mission. Based on the above facts and circumstances, Williston State College Foundation should continue to be considered as publicly supported under Internal Revenue Code Section 509(a)(1). |

The chairperson of the board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. 3. After exercising due diligence, the board or committee shall determine whether the Foundation can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. 4. If a more advantageous transaction or arrangement is not reasonably attainable under circumstances that would not give rise to a conflict of interest, the board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in Foundation's best interest and for its own benefit and whether the transaction is fair and reasonable to the Foundation and shall make its decision as to whether to enter into the transaction or arrangement in conformity with such determination. |
