Form 990, Part XI, Line 9 On November 1, 2015, Golf & Racquet Club at Eastpointe, Inc. merged with Eastpointe Country club, Inc ("surviving corporation")(EIN: 59-1839098). Eastpointe Country Club, Inc. acquired all of the assets and assumed all of the liabilities of Golf & Racquet Club at Eastpointe, Inc.
Golf & Racquet Club Merger 11/1/2015 Eastpointe Country Club, Inc. recorded the combination as a merger of the two clubs. As such, the transaction was accounted for using the carry over method in accordance with Financial Accounting Standards Board ("FASB") Accounting Standards Codification ("ASC") topic 958-805, for-Profit Entities - Business Combinations", which requires combining the assets and liabilities recognized in the separate financial statements of the merging entities as of the merger date. The net assets of Golf & Racquet Club at Eastpointe, INc. as of the date of merger was $2,342,758, consisting of total assets of $ 4,581,043 reported on Schedule N of Form 990, less total liabilities of $ 2,238,285 at the date of the merger.
STATEMENT REGARDING IRS FILINGS & TAX COMPLIANCE BILLY CASPER GOLF LLC WAS HIRED TO PROVIDE GENERAL OPERATIONAL MANAGEMENT SERVICES FOR THE CLUB AND AS SUCH WAS RESPONSIBLE FOR ALL EMPLOYEES AND RELATED EMPLOYEMENT TAX RETURN FILINGS.
