Cobb Travel & Tourism, Inc("CT&T") was created to strengthen the economy in Cobb County, Georgia by marketing the county as a destination for conventions, meetings, trade shows, and leisure travel through sales, advertising, and promotion and by providing those visitor and convention services that enhance CT&T's efforts. The stated purpose of CT&T is to attract conventions and promote tourism in Cobb County through contracts with various agencies and municipalities.

Part X, Line 2: The Organization qualifies as a tax exempt organization under Section 501(c)(6) of the Internal Revenue Code; therefore, no provision for income taxes has been made in the financial statements. The preparation of financial statements in conformity with accounting principles generally accepted in the United States requires the Organization to report information regarding its exposure to various tax positions taken by the Organization. Management believes that the Organization has adequately addressed all relevant tax positions and that there are no unrecorded tax liabilities. Management is not aware of any circumstances or transactions that would jeopardize its tax exempt status. All tax exempt entities are subject to review and audit by federal, state and other applicable agencies. Such agencies may review the taxability of unrelated business income, or the qualification of the tax-exempt entity under the Internal Revenue Code and applicable state statutes. There currently are no audits of the Organization's returns in progress.

Form 990, Part VI, Section A, line 2 The Board of Directors is composed of business, government, and community leaders in the local area. Due to the extensive involvement of these community leaders in business and other community affairs, the directors may have normal business relationships that might be expected of leaders in a suburban community. However, these business relationships are conducted at arms-length, pursuant to normal business terms.
Form 990, Part VI, Section A, line 6 CT&T had 105 members at 09/30/2018.
Form 990, Part VI, Section A, line 7a The membership elects five of the directors. At the annual meeting, members also elect the slate of officers.
Form 990, Part VI, Section A, line 8b There are several committees that are chaired by a board member (membership, marketing, sports, executive, nominating, and finance). There is no regular schedule for committee meetings and no minutes are taken at these meetings when they are held. The committee chair makes a report to the full board at the monthly board meeting regarding the status of that committee or department's activities. Any major decisions would be made by the full board.
Form 990, Part VI, Section B, line 11b The Form 990 is reviewed by the Director of Finance & Administration and the CEO. Once they are satisfied it is presented to the Treasurer of the Board of Directors for his review. Then Form 990 is presented to the entire board for review and approval.
Form 990, Part VI, Section B, line 12c In the event a board member has a conflict with an issue that requires a vote, that board member will abstain from voting. The organization monitors and enforces compliance with its conflict of interest policy through the use of periodic reviews and required disclosure of any potential conflict of interest. The policy must be signed by each board member on an annual basis.

The agreement provides that funds received by CT&T be expended for the purposes of promoting tourism, conventions, trade shows, and other similar activities in Cobb County. The agreement is in effect through September 30, 2021. Under terms of the agreement with the Authority, CT&T received $1,347,480 and $1,249,464 for the years ended September 30, 2018 and 2017, respectively. This agreement provides that the Authority pay to CT&T monthly, in advance, an amount equal to eight percent of the gross amount payable to CT&T pursuant to the prior year's hotel-motel tax collected by the Authority.
