| Form 990, Part VI, Line 12c Conflict of interest policy | The board of directors, officers, and key employees must review and sign a written copy of the conflict of interest policy on an annual basis. Senior management reviews for conflict disclosures and none have been disclosed, suspected, or discovered. Should there be the possibility of a conflict, the conflict may be resolved by having the director disclose to the chairman, and, if necessary the entire board, the possibility and nature of the conflict. After disclosure, the board member may participate in a discussion on the issue. However, the director should abstain in any vote on the matter. In order to assure compliance with the provisions of this policy, it is the duty of every director, officer, and employee to bring to the attention of the appropriate board member, senior officer, or supervisor, any violation or possible violation of this policy. It is the further duty of the person so notified to communicate the violation or potential violation to the president, or if the violation is by the president, to the chairman of the board, who shall institute an investigation of such violation or potential violation. A violation of this policy shall, at the discretion of the board, result in the suspension or termination of the director, officer, or employee involved. |
