Organizational document changes Part VI line 4 Any member, in good standing of a Constituent Forest, shall be granted voice and vote on all business brought before the Annual Meeting, except for the election of the Supreme Forest officers. Only members of the Supreme Forest will be eligible to vote on the selection of Supreme Forest officers.Any member of the Supreme Forest shall be eligible for office; however, any Past Supreme Tall Cedar, having served his term shall not be eligible to hold another Elected office in the Supreme Forest for a period of three years after his term has ended. A Past Supreme Tall cedar may be appointed by the Board of Directors to serve in a vacated office until a successor is elected and installed.The Permanent Fund (endowment fund) has been capped at $233,409.16.
Members or stockholder classes and rights Part VI line 6 The Supreme Forest, Tall Cedars of Lebanon of North America is a masonic fraternal organization. As such, only approved members can join and participate in its activities.The officers and directors of the Supreme Forest are elected annually by the membership.Decisions of the Board of Directors are final and binding. Only changes to the bylaws require a vote of the membership.

Governing body decisions Part VI line 7b Disbursements from the Permanent Fund, the Organizations quasi-endowment fund, require approval of a majority of the membership. The site of the annual meeting is determined by a vote of the membership.Changes to the bylaws require approval of a majority of the membership at the annual meeting. Proposals for changes to the bylaws must be announced by January 1 of the year in which the vote is to take place. A simple majority afirmative vote is then needed for passage. Proposed changes to the bylaws are permitted to be introduced from the floor of the annual meeting but then a 2/3 affirmative vote is required for passage. All of the Organizations members are entitled to one vote.

Explanation of information on Schedule R The Tall Cedar Foundation is an independent organization organized under 501(c)(3)of the Code. Members of the Tall Cedars fraternal organization raise money on behalf of the Foundation. The Foundation then donates all of that money, after operating expenses, to the Muscular Dystrophy Assn.The Foundation does not have its own office or employees but utilizes the office and paid staff of the Supreme Forest. For these services the Foundation compensates the Supreme Forest.
