THESE CHARGES HAVE BEEN WIDELY REPORTED BY VARIOUS NEWS ORGANIZATIONS. FORMER UAW OFFICIALS AND BOARD OF TRUSTEES MEMBERS MICHAEL GRIMES AND JEFF PIETRZYK HAVE PLED GUILTY TO FEDERAL CHARGES OF CONSPIRACY TO COMMIT WIRE FRAUD AND MONEY LAUNDERING. GRIMES SERVED ON THE BOARD OF TRUSTEES FROM JULY 2006 UNTIL JUNE 2018. PIETRZYK SERVED AS A CO-DIRECTOR OF THE CHR AND A MEMBER OF THE BOARD OF TRUSTEES FROM JULY 2010 UNTIL JUNE 2014. THEY ARE ACCUSED OF RECEIVING KICKBACKS AND BRIBES FROM CHR VENDORS FOR UNION-BRANDED PROMOTIONAL MERCHANDISE. FORMER UAW VICE PRESIDENT, AND EXECUTIVE CO-DIRECTOR FOR THE CHR BOARD OF TRUSTEES JOE ASHTON HAS BEEN CHARGED IN FEDERAL COURT WITH CONSPIRACY TO COMMIT WIRE FRAUD AND MONEY LAUNDERING. ASHTON SERVED AS THE EXECUTIVE CO-DIRECTOR OF THE BOARD OF TRUSTEES FROM JULY 2010 UNTIL JUNE 2014. HE IS ACCUSED OF ACCEPTING KICKBACKS AND BRIBES FROM CHR VENDORS IN THE SAME SCHEME AS GRIMES AND PIETRZYK. A DETERMINATION HAS NOT BEEN made WHETHER, OR IN WHAT AMOUNTS THESE ACTIONS MAY HAVE RESULTED IN A DIVERSION OF THE ASSETS OF THE CHR. FORM 990, PART VI, SECTION A, LINE 7A The Board of Trustees consists of up to 10 persons. 50% of the Trustees are nominated by the UAW International Union. Of those, one is appointed by the UAW International President, and the remaining by the Vice President of the General Motors Department of the UAW. 50% of the Trustees are nominated by General Motors, specifically by the GM Vice President of Labor Relations. New Trustee nominations are approved by the Board of Trustees. |

The Board of Trustees, at a regularly scheduled meeting prior to the filing date, were provided with the full Form 990 (including all schedules and attachments), and were briefed on the highlights. FORM 990, PART VII, SECTION A PATTI BIEBER, JANICE ADAMS, AND CAROL PARR ARE PAID FOR SERVICES PROVIDED TO THE ORGANIZATION BY UNRELATED ENTITIES. THE COMPENSATION BEING REPORTED IS THE REIMBURSEMENT THAT THE ORGANIZATION MAKES TO THEIR EMPLOYERS. THE ORGANIZATION DOES NOT ISSUE A FORM W-2 FOR THESE TWO OFFICERS, BUT THE FORM 990 REQUIRES THAT THE COMPENSATION BE LISTED UNDER THE LINE FOR WAGES. |
| FORM 990, PART IX, LINE 24a | The UAW-GM Center Human Resources (CHR), provides and conducts many programs, services and classes to UAW represented GM employees. Programs and services include tuition assistance, work family, health care initiatives and benefit coordination. Classes provided include basic skills, health and safety training and quality monitoring and awareness.
