FORM 990, PART VI, SECTION A, LINE 2:	ARTHUR ANTON AND MICHAEL SIEGEL HAVE A BUSINESS RELATIONSHIP. FORM 990, PART VI, SECTION A, LINE 4: In August, 2018, the members voted to adopt Amended and Restated Articles of Incorporation for the club. In September, 2018, the governing body approved a new Code of Regulations for the club. Overall, these new charter documents did not change the fundamental governance structure of the club or the rights of its members, including voting rights of members. The following significant changes did result: (i) the number of the voting members on the clubs governing body was changed from nine members to a minimum of nine and a maximum of twelve members; (ii) now the outgoing President of the club is an ex officio member of the clubs governing body for a one-year period; (iii) now there is only one Vice President while formerly there could be multiple Vice Presidents; (iv) now the Code of Regulations may be amended only by the vote of a majority of members at a meeting while the prior Code of Regulations also allowed amendment by a written action of two-thirds of the members; and (v) now a merger of the club with another entity, a sale, transfer, or other disposition of substantially all the assets of the club, or the dissolution of the club can occur only after a majority vote of the governing body and an approving vote by two-thirds of the members, while the clubs previous charter documents did not have an express provision related to this matter.
