Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder	The Cooperative has 12,194 eligible voting members at December 31, 2018. Members consist of individuals and businesses that receive electric service from the Cooperative.
Form 990, Part VI, Line 7a: How Members or Shareholders Elect Governing Body	Each year at the Cooperative's annual meeting that is held in March, the membership elects two or three Directors to serve on the Board of Directors for a three-year term.
Form 990, Part VI, Line 7b: Describe Decisions of Governing Body Approval by Members or Shareholders	Changes to the Cooperative's bylaws require approval by its members. Each member is entitled to one vote for making changes to the Cooperative's bylaws.
Form 990, Part VI, Line 11b: Form 990 Review Process	After the Form 990 has been prepared by the independent accountants, management reviews the Form for accuracy and completeness. Once management believes the Form is complete and accurate, the Form is submitted to the Board for their review and approval. Upon receiving their approval, the Form is signed by the Secretary/Treasurer prior to its filing.
Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts	All trustees must disclose to the board of trustees any situations or transactions on which the trustee is involved which violates, or could appear to violate, the intent of the conflict of interest policy. The board will then determine what action, if any, should be taken. Each trustee is responsible for ensuring that his or her actions and behaviors are in accordance with this policy. The board president shall be responsible for ensuring that all trustees adhere to this policy; however, any trustee may bring to the attention of the board any preceived violation of the conflict of interest policy.
Form 990, Part VI, Line 15a: Compensation Review & Approval Process - CEO, Top Management	The National Rural Electric Association (NRECA) and Montana Electric Cooperative Association (MECA) perform an annual salary survey by job classification. The board of directors makes use of these salary surveys to determine the salary guideline for the general managers salary. The general manager uses the salary surveys to determine the range of salaries for the exempt, non-union positions. Lineman salaries are established through collective bargining agreements.
