| Form 990, Part VI, Section A, line 4 | During the tax year, the Organization made the following changes to its governing documents: Purposes: The language describing the Organization's exempt purpose was updated to include religious, scientific, and literary purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, and to include the Organization's specific purpose of providing services to Florida's youth and families in preventing delinquency and developing lawful, resilient, and productive citizens. The Organization's exempt purposes were also updated to provide that the Organization may make distributions to other organizations exempt under Section 501(c)(3) of the Internal Revenue Code. The Organization's purposes were further clarified to provide that the Organization may select a replacement organization with similar purposes for its supported organization in the event its designated Supported Organization ceases to continue operations as a 501(c)(3) organization. Amendments of governing documents: The provision governing amendments of the governing documents was updated to provide that the Organization's supported organization has authority to approve such amendments. Directors: The minimum number and qualifications for directors of the Organization were updated. The duties for directors of the Organization were added and are articulated in the bylaws. The provisions regarding the removal of directors and filling of vacancies were updated to provide that directors may be removed by a majority vote of the Supported Organization's board. In addition, provisions were added summarizing the Organization's existing conflicts of interest policy. Officers: The duties and roles for certain officers of the Organization were updated in the Bylaws. The positions of vice presidents and assistant secretaries were added as officers. Provisions were added to permit the payment of reasonable compensation to officers who are not directors of the Organization. The duties and election and removal of officers are articulated in the bylaws. |
