| Pt VI, Line 3 | Since Sept. '00 the association and it's political action committee has been run by the executive director who was hired as an independent contractor at that time and has remained in the position since then. The director was hired to manage the day to day oprations, bookkeeping, meetings, seminars, newsletters, website and all aspects of managing the association. The director is answerable to the board, provides all financial information to the accountant for tax preparation and files all necessary campaign spending reports on time as well as all ethical commission reports when required or requested. |
| Pt VI, Line 6 | The association has an average of 135 members who pays dues for memberships on different levels on an annual basis. Members vote on new additions to the board annually in May/June and participate in seminars that the association puts on to help improve their expertise and to learn new technologies and services applicable to their day to day law practices. |
| Pt VI, Line 8b | No committee takes notes except the Executive Committee. Board meetings have minutes. The Executive Director takes minutes at all regular board meetings. They are then approved at the next board meeting. When the Excutive Committee meets the Director takes notes that are not formalized (but are kept in their original form) nor approved since the Executive Committee wishes to speak freely about many issues and not go on record. If the Executive Committee takes any votes the Director notes the votes and puts those items on the regular board agenda for the full board to approve these measures or not. The process described here has always been a part of our By-laws. As for the PAC committee and the Legislative Committee, they hold informal meetings during elections and legislative sessions to discuss strategies but no formal minutes are taken and the Director is not included in these formal meetings. |
| Pt VI, Line 11b | The form 990 is not presented to the board for review but after completion it is given to the association treasurer for review and signing before filing. It is available for review by the board if requested. |
| Pt XI | Change attributed to decrease in revenue to expense ratio and decrease in fixed assets. |
