ARE EXEMPT FROM FEDERAL INCOME TAX UNDER IRC SECTION 501(C)(3) AND 170(B)(1)(A)(VI), THOUGH ARE SUBJECT TO TAX ON INCOME UNRELATED TO THEIR RESPECTIVE EXEMPT PURPOSE, UNLESS THAT INCOME IS OTHERWISE EXCLUDED BY THE CODE. BOTH THE CORPORATION AND LITERARY CLASSICS, INC. HAVE PROCESSES PRESENTLY IN PLACE TO ENSURE THE MAINTENANCE OF THEIR TAX-EXEMPT STATUS; TO IDENTIFY AND REPORT UNRELATED INCOME; TO DETERMINE THE RELEVANT FILING AND TAX OBLIGATIONS IN JURISDICTIONS FOR WHICH THEY HAVE NEXUS; AND TO IDENTIFY AND EVALUATE OTHER MATTERS THAT MAY BE CONSIDERED TAX POSITIONS. MANAGEMENT IS NOT REPRESENTED ON THE BOARD, MEMBERS OF WHICH ARE APPOINTED BY THE PRESIDENT OF THE UNITED STATES AND CONFIRMED BY THE U.S. SENATE. AN ANNUAL COMPENSATION ANALYSIS IS PREPARED BY AN INDEPENDENT COMPENSATION CONSULTANT FOR ALL VICE PRESIDENT AND ABOVE POSITIONS. THE ANALYSIS COMPARES COMPENSATION FROM MULTIPLE INDEPENDENT COMPENSATION SURVEYS. ANNUAL PERFORMANCE IS EVALUATED AGAINST OBJECTIVES SET AT THE BEGINNING OF THE YEAR FOR EACH POSITION, OTHER THAN THE CEO.
