| Form 990, Part VI, Line 7a: How Members or Shareholders Elect Governing Body | Convention delegates are members in good standing forty-five (45) days prior to the opening of the Convention. The election of the National Officers Council is done by nomination and balloting by convention delegates at the bi-annual convention. The National Officers Council consists of President, Executive Vice President, Treasurer, Corresponding Secretary, Recording Secretary and 17 Vice Presidents. These positions are open to all CLUW members and nominations are taken from the floor. The nominations are followed by a secret ballot. The National Officers Council is elected every four years. The National Officers Council is the governing body for issues that do not require the approval of the Convention and that come up in-between the sessions of the National Executive Board. In the two-year period between conventions, the National Executive Board meets in person at least (3) times and CLUW sponsors at least one (1) educational conference. It is the highest policy-making board of CLUW except when the Convention is in session. The National Executive Board (NEB) is composed of the National Officers Council, State Presidents, State Vice-Presidents, Union Delegates, Chapter Presidents, and Chapter Delegates. Each CLUW Chapter is allowed to elect 1 delegate and alternate for each 25 chapter members to the National Executive Board. They hold elections to determine who the delegate and alternate will be in accordance with their own bylaws. The governing structure is set out in the constitution which can only be changed by the Convention. |
| Form 990, Part VI, Line 7b: Describe Decisions of Governing Body Approval by Members or Shareholders | Decisions of the Board of the Coalition of Labor Union Women is subject to its Constitution as approved by the membership at its bi-annually convention. The Board has the authority delegated to it by the Constitution. Any changes to the Constitution must be approved at the Convention. |
