Schedule J, Part II, Column (B)(ii) DALE STINTON In 2018, NAR's outgoing CEO received a contractually agreed upon payment for the successful completion of many years of service as CEO. The amount represents retirement income earned over 36 years of service to the organization, deferred to and fully vested in 2018. This amount is included in the compensation reported in part VII of the Form 990 and in column (B)(iii) "other compensation" of Schedule J of the Form 990.
Schedule J, Part II, Column (B)(ii) Matt Lombardi During the 2017 tax year, Matthew Lombardi was considered a key employee of the National Association of Realtors. Mr. Lombardi has since changed roles within the organization and no longer meets the definition of a key employee. As such, Mr. Lombardi received calendar year 2018 compensation from the organization that was above the former key employee reporting threshold. As a result, Mr. Lombardi is reported on the 2018 tax return as a former key employee.
Schedule J, Part I, Line 1a First-class or charter travel Interested persons listed on Part VII, Section A, Line 1a have received or have the option to receive the benefits identified on Schedule J, Part I, Line 1a. These benefits include companion travel and tax indemnification and gross up payments. For some, benefits also include first-class air travel, as well as payments for health and social club dues. As a national association serving more than 1,000,000 members, NAR requires extensive travel for individuals holding the responsibility of an Officer of the Board of Directors or a Senior Vice President (SVP). This travel requirement ranges from 2 to 6 trips a month and, in some cases, in excess of 200 days a year per Officer or SVP. NAR reviews all benefits provided to interested persons, and where appropriate, additional taxable compensation is imputed.
Schedule J, Part I, Line 1a Travel for companions OFFICERS WERE REIMBURSED FOR MINOR PERSONAL EXPENSES WHILE TRAVELING FOR BUSINESS PURPOSES. THE REIMBURSEMENTS WERE TREATED AS TAXABLE COMPENSATION.
Schedule J, Part I, Line 1a Tax indemnification and gross-up payments See narrative above.
Schedule J, Part I, Line 1a Health or social club dues or initiation fees See narrative above.
Schedule J, Part I, Line 1a Personal services During 2018, NAR paid for tax services related to the preparation of the Former CEO's personal income tax return. NAR also paid for tax or legal services for certain Senior Vice Presidents of the organization. The related benefits were treated as taxable compensation to the recipients. Additionally during 2018, NAR reimbursed the President for housing related costs while traveling for company business.

THIS PROCESS WAS LAST UNDERTAKEN IN THE FOURTH QUARTER OF 2017 FOR THE 2018 COMPENSATION YEAR.
Form 990, Part VI, Line 6 Members or Stockholders Per the instructions to the Form 990, a member, as referred to in Part VI, Line 6, is defined as any person who has the right to: 1.
