| PT VI, LINE 15 | The determination of compensation for the officers and other key employees is the responsibility of the BOARD OF DIRECTORS OF THE Robert W. Woodruff Arts Center, Inc. which has delegated this to the Compensation Committee. The Compensation Committee is composed of INDEPENDENT board members whose responsibilities include, in part, the review and approval of the compensation for the officers and key employees. The compensation agreements deliberated by the Committee are determined based on comparable data which is documented in the records of the Committee's work. Such documentation is meant to meet or exceed the requirements which would satisfy the rebuttable presumption criteria under the intermediate sanctions language of the IRS.
