Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder	Members are businesses and individuals which receive electric service from the Cooperative. There are approximately 4,600 members.
Form 990, Part VI, Line 7a: How Members or Shareholders Elect Governing Body	Each member of the Cooperative is entitled to vote in the election of the Board of Directors, which serve three year terms. Elections are held every year at the annual meeting held in March.
Form 990, Part VI, Line 7b: Describe Decisions of Governing Body Approval by Members or Shareholders	All bylaw changes recommended by the Board of Directors are approved and ratified by the majority of quorum membership at the Cooperative's annual meeting.
Form 990, Part VI, Line 11b: Form 990 Review Process	After the Form 990 has been prepared by the independent accountants, the General Manager and staff review the form for accuracy and completeness. After the General Manager has approved the Form 990, it is submitted to the Board for their review and approval prior to its filing.
Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts	All trustees must disclose to the Board of Directors any situation or transaction in which the trustee is involved which violates, or could appear to violate the intent of the conflict of interest policy. The Board will then determine what action, if any, should be taken. Each trustee is responsible for ensuring that his or her actions and behavior are in accordance with this policy. The Board President shall be responsible for ensuring that all trustees adhere to this policy; however, any trustee may bring to the attention of the Board any perceived violation of the conflict of interest policy.
Form 990, Part VI, Line 15a: Compensation Review & Approval Process - CEO, Top Management	Montana Electric Cooperative Association (MECA) and the National Rural Electric Cooperative Association (NRECA) performs an annual salary survey by job classification. The Board of Directors use these surveys to determine the salary guidelines for the General Manager
Form 990, Part VI, Line 15b: Compensation Review and Approval Process for Officers and Key Employees	Montana Electric Cooperative Association (MECA) and the National Rural Electric Cooperative Association (NRECA) performs an annual salary survey by job classification. The General Manager uses these surveys and the employment cost index to determine the range of salaries for exempt, non-union positions. The Cooperative's other employee salaries are established by a signed collectively bargained union contract.
Form 990, Part VI, Line 19: Other Organization Documents Publicly Available	All governing documents, policies and financial reports (including the Form 7 and Form 990) are available upon request at the Cooperative's headquarters office. In addition, each new member is provided with a copy of the Cooperative's bylaws. Also, the Statement of Financial Condition is sent out yearly to all members prior to the annual meeting held in March of each year.
