| PART IV, SECTION D, LINE 3: | FOUR OF THE NINE MEMBERS SERVING ON THE BOARD OF DIRECTORS OF THE BURKITT FOUNDATION ARE APPOINTED BY THE EL PASO COMMUNITY FOUNDATION (EPCF), THE SUPPORTED ORGANIZATION. THESE MEMBERS ACTIVELY PARTICIPATE IN ALL DISCUSSIONS CONCERNING THE OPERATIONS OF THE BURKITT FOUNDATION, INCLUDING THE INVESTMENT POLICIES OF THE BURKITT FOUNDATION. IN ADDITION, PURSUANT TO THE ADMINISTRATIVE SERVICES AGREEMENT BY AND BETWEEN THE BURKITT FOUNDATION AND EPCF, EPCF MONITORS THE BOOKS AND RECORDS OF THE BURKITT FOUNDATION ON A MONTHLY BASIS AND ASSISTS IN THE CALCULATION OF THE AMOUNT TO BE DISTRIBUTED BY THE BURKITT FOUNDATION ANNUALLY. FURTHER, THE PARTIES OPERATE BASED ON THE AGREEMENTS REACHED PURSUANT TO THE MEDIATED SETTLEMENT AGREEMENT AND THE FOURTH AMENDED AND RESTATED AGREEMENT ESTABLISHING SUPPORTING ORGANIZATION RELATIONSHIP BY AND BETWEEN THE FOUNDATION AND EPCF DATED SEPTEMBER 27,2016 (THE "SUPPORTING ORGANIZATION AGREEMENT"). |
| PART V, SECTION C6, SECTION D1 AND D10 | THE $783,095 PAID TO EPCF TO ACCOMPLISH EXEMPT PURPOSES (SECTION D1) CONSISTS OF THE DISTRIBUTABLE AMOUNT AGREED PURSUANT TO THE TERMS OF THE FOURTH AMENDED AND RESTATED AGREEMENT ESTABLISHING SUPPORTING ORGANIZATION RELATIONSHIP (SO AGREEMENT) BETWEEN THE BURKITT FOUNDATION AND EPCF DATED EFFECTIVE SEPTEMBER 27, 2016. THE CALCULATION OF THE ANNUAL DISTRIBUTABLE AMOUNT PROVIDED IN THE SO AGREEMENT RESULTS IN A GREATER DISTRIBUTION MADE TO EPCF THAN IS REQUIRED UNDER SECTION C6. |
| PART V, SECTION D, LINE 8 | THE BURKITT FOUNDATION MAKES 100% OF ALL ITS DISTRIBUTIONS, WHETHER THROUGH GRANTS OR BY PAYMENT OF AN ADMINISTRATIVE FEE, TO EPCF, ITS SUPPORTED ORGANIZATION. EPCF IS ATTENTIVE TO THE OPERATIONS OF THE BURKITT FOUNDATION. PURSUANT TO THE TERMS OF THE SUPPORTING ORGANIZATION AGREEMENT, TWO-THIRDS OF THE BURKITT FOUNDATION'S SUPPORT IS GIVEN TO THE BURKITT FOUNDATION FUND FOR CATHOLIC EDUCATION ("CATHOLIC EDUCATION FUND") AT EPCF. THIS FUND MAKES GRANTS AND PROVIDES SUPPORT TO CATHOLIC EDUCATION IN PARTS OF TEXAS, INCLUDING EL PASO. WITHOUT THIS FUND, EPCF COULD NOT MAKE THESE GRANTS AND PROVIDE THIS SUPPORT. THE BURKITT FOUNDATION HAS BEEN A SUPPORTING ORGANIZATION OF EPCF SINCE 1999. EPCF IS ITS ONLY SUPPORTED ORGANIZATION. PURSUANT TO THE TERMS OF THE SUPPORTING ORGANIZATION AGREEMENT AND THE ADMINISTRATIVE SERVICES AGREEMENT BETWEEN EPCF AND THE BURKITT FOUNDATION, THE TWO ENTITIES WORK CLOSELY TOGETHER WHEN REVIEWING THE INVESTMENTS, FINANCES AND BUSINESS ACTIVITIES OF THE BURKITT FOUNDATION AND DETERMINING THE GRANTS THAT WILL BE MADE FROM THE CATHOLIC EDUCATION FUND AND THE BURKITT FOUNDATION FUND FOR GENERAL CHARITABLE PURPOSES (THE "GENERAL CHARITABLE PURPOSES FUND"). THE BURKITT FOUNDATION MEETS THE RESPONSIVENESS TEST BECAUSE FOUR OF THE NINE MEMBERS OF THE BOARD OF DIRECTORS ARE APPOINTED TO THE BURKITT FOUNDATION BY THE EPCF AND THE OFFICERS, EMPLOYEES AND DIRECTORS OF EACH FOUNDATION MAINTAIN A CLOSE AND CONTINUOUS WORKING RELATIONSHIP WITH EACH OTHER. BECAUSE OF THIS RELATIONSHIP, EPCF HAS A SIGNIFICANT VOICE IN THE BURKITT FOUNDATION'S INVESTMENT POLICIES, GRANT MAKING AND OTHER USE OF ITS INCOME AND ASSETS. |
