| Form 990, Part VI, Line 1a Delegate broad authority to a committee | The Executive Committee of SIOR will have a membership of seven (7) members that include the President, the President-Elect, the Vice President, the Immediate Past President, the Treasurer, the Speaker of the Council of Chapter Presidents, and the Executive Vice President as a non-voting member. This committee, chaired by the President, is empowered to implement general policy adopted by the Board, will advise and recommend action to the President and Executive Vice President, and will make policy recommendations to the Board. |

| Form 990, Part VI, Line 12c Conflict of interest policy | On an annual basis, the Board of Directors receive a copy of the Conflict of Interest Policy, and are asked to sign an acknowledgement concerning reporting of potential conflicts of interest. Board members are required to disclose any potential conflicts of interest to the Chairman of the Board immediately. Board members must refrain from voting on any such transactions where there is a potential conflict, participating in deliberations concerning it, or using personal influence in any way involving the matter. In addition, officers, directors, and key employees are required to complete a conflict of interest questionnaire annually to determine if there are any required business transactions that need to be reported on the Form 990. The questionnaires are reviewed by the Office of the EVP to determine any potential conflicts of interest. |
| Form 990, Part VI, Line 15a Process to establish compensation of top management official | SIOR has a Compensation Committee which consists of the President and the two most immediate past Presidents. Comparability data is used by this committee to help determine compensation. The committee determines the base salary, variable compensation, incentive compensation, other cash compensation and other benefits of the EVP and approved the terms of the Employment Agreement and any amendment thereto. Once the Employment Agreement for the Executive Vice President or any amendment thereto, is approved by the Compensation Committee, an Employment Agreement (or such amendment) shall be executed by the President on the behalf of SIOR. The last comparability study was completed in March 2018 and the most recent employment agreement was dated April 2018. Deliberations and decision-making with respect to the EVP's compensation are documented on a timely basis by the Compensation Committee. On an annual basis, the EVP has a performance evaluation which is used in part to determine any changes in pay (e.g. variable compensation, incentive compensation, cost of living and merit increases). The EVP compensation for the 2018 tax year was reviewed and approved in December 2017. |
