| Members or stockholder classes and rights Part VI line 6 | Voting RightsEach member, in good standing, shall be entitled to one vote on each matter submitted to a vote of the members at the Annual Meeting of Members and at a Special Meeting of Members. Each member, in good standing, who is a Director on the Board of Directors shall be entitled to one vote on each matter submitted to a vote of Directors at meetings of the Board of Directors, Annual Meeting of Members, and at a Special Meeting of Members. A member in good standing is one who is in compliance with Membership Fees and Dues guidelines. ClassesThere shall be three classes of membership: Foundation membership is available to counties, cities and/or local economic development corporations; Institutional membership is reserved for chambers of commerce, education institutions and councils of government; and Organizational membership is available to those entities or individuals having a vested interest in the economic vitality of the region but not eligible for Foundation or Institutional membership. The Council Board of Directors shall establish the responsibilities and financial commitment for each category. |
