The undersigned, being all of the members of the Board of Management (the "Board") of the Mutual Aid Society of employees of Grand Trunk Western Railroad, an Internal Revenue Code ("Code") Section 501(c)(9) Voluntary employees' Beneficiary Association (the "Society") hereby take the following actions and adopt the following Resolutions by unanimous written consent effective for all purposes as of the date written above: WHEREAS, the Society's current active membership has decreased significantly, is currently at or about 52 active Members, and the Board anticipates Society membership will continue to decline; WHEREAS, pursuant to the bylaws of the Society, the Society may be dissolved by action of its Board and its Members according to the following procedure: unanimous vote of all members of the Board, the timely submission to all Society Members entitled to vote of a proposed plan of dissolution and distribution at a duly called special meeting, and approval by a majority of the Society's Members at such meeting; WHEREAS, the Society's assets have been funded solely by Member after-tax contributions and the earnings thereon (and Grand Trunk Western Railroad and its affiliated employers have not funded the Society or otherwise contributed to the Society); WHEREAS, the Board desires to dissolve the Society in accordance with its bylaws and Code Section 501(c)(9) and the regulations promulgated thereunder, and in particular pursuant to Treasury Regulation 1.501(c)(9)-4(d), which requires remaining assets be distributed on the basis of objective and reasonable standards which do not result in unequal payments to similarly situated Members; WHEREAS, in accordance with the foregoing, the Board proposes that the Society's remaining assets after payment of outstanding expenses and expenses incurred in connection with its dissolution ("Net Assets"), be distributed to active Society Members as of January 1, 2018 ("Active Members") pursuant to a formula by which the allocation of Net Assets to each Active Member will be based on his or her respective shares in relation to all Active Member shares, with an Active Member entitled to one share for every month that he or she contributed dues to the Society up to 360 months (for a maximum of 360 shares), such that Active Members will be entitled to a distribution of the Net Assets determined by multiplying the Net Assets by a fraction the numerator of which is the Active Member's total number of shares and the denominator of which is all shares of all Active Members; and WHEREAS, in accordance with the bylaws, the Board desires to schedule a special meeting for the purpose of voting on the Plan of Dissolution and the Distribution of Assets.
