Part II, Line 17A
The University of Wollongong USA Foundation ("Foundation") was created as a "Friends Of ' organization to support advancing knowledge and learning at the University of Wollongong, New South Wales, Australia, and the exchange of academic knowledge, faculty, and students of universities in the United States and the University of Wollongong. Originally a provincial College, the University has grown to an international, multi-campus university with over 32,000 students, and has received awards for its collaborative and innovative research. The Foundation solicits support from University alumni residing in the United States, U.S. private foundations, and other potential donors to help support academic programs and educational exchanges between the University of Wollongong (and other related Australian educational institutions and programs) and universities in the United States. In 2014 (the second year of operations) the University of Wollongong contributed $100,100 to the Foundation to be used as initial operating funds. The Foundation reported this amount on Schedule A, line 5 as "other income" because the amount was a one-time, unusual contribution from the University. The University of Wollongong will not be contributing significant additional funds to the Foundation going forward. To date, the Foundation has solicited donations from a broad number of alumni (approximately 90 different individuals) in the United States for small contributions (anywhere from $1 to $500 or more), but because it is still in its early stages of fundraising, the Foundation has not yet been able to solicit donations in large quantities. As such, solely because of the one-time $100,100 contribution from University of Wollongong, the Foundation has not yet met the 33 1/3% public support test. However, all other funds collected by the Foundation have been contributed by the public (alumni), and those collected funds together with the amount from the University of Wollongong results in a public support percentage of more than 10%. Moreover, if the contribution from the University of Wollongong were excluded (for example because it was treated as an unusual grant), the Foundation's public support percentage would jump up to nearly 100%. The contribution from the University of Wollongong will drop out of the Foundation's public support calculation next year, and thus the Foundation expects its public support percentage to be close to 100% next year. Meanwhile, the Foundation is making efforts to ramp up fundraising going forward and is currently working with a number of private foundations in the United States, and expects to receive significant grants from them in the coming tax years. Pursuant to the Foundation's Bylaws, the Board of Directors of the Foundation has complete discretion and control over the Foundation's assets. Further, the Bylaws require that a majority of the Board of Directors be self-perpetuating and not appointed by the University or its officers. The Foundation is authorized to make grants to other charitable, educational, or scientific organizations. Because the Foundation has direct ties to the University, there is a "built-in compliance measure" to ensure that distributions and grants made by the Foundation will further its charitable, educational, and scientific purposes. Grants made to non-University charities will be monitored through University contacts or personnel who work with the grantee on the particular project for which the grant was made. In addition, the Foundation has a governing body that represents the broad interests of the public, rather than the personal or private interests of a limited number of donors, which is evidence of the organization's being "public supported." Section 1.170A-9(f)(3)(iii)(C) provides that an organization will be treated as having a representative governing body if it has a governing body comprised of persons having special knowledge or expertise in the particular field or discipline in which the organization is operating, and the Foundation's Board of Directors fits this description. For example, sitting on the Foundation's Board is- . Professor Paul Wellings CBE, the current Vice-Chancellor of the University of Wollongong who has extensive experience in the research and education sector in both Australia and the United Kingdom and has held Board positions with several Australian research organizations and peak research and education bodies in the United Kingdom. . Dr. George Delic, who has extensive work experience in information sciences and has held senior research and academic positions in both Australia and the USA and whose expertise in the education and research sector provides the Foundation with valuable knowledge of research opportunities that address global challenges, one of the key priorities of the Foundation. Dr. Delic is also one of the first graduates of the University of Wollongong and has extensive knowledge of the University's history. . Mr. Randall Cupp, an individual with more than 30 years of experience in the banking sector and currently the Community Bank President and Commercial Team Leader for a U.S. Bank in the Colorado Mountain Region. With a bachelor's degree from a U.S. university and a Master's degree from the University of Wollongong in Australia, Mr. Cupp brings to the Foundation an understanding of the needs and challenges for students seeking an international study experience, which is one of the key priorities that the Foundation supports. The three officers of the Foundation also hold positions in the field of higher education.
