Only the Board of Directors vote. 3 Bylaws may now be amended only by a Board majority vote, rather than a quorum, majority vote. 4 The composition of the bylaws were rearranged to improve fluidity. 5 The day-to-day procedures were removed from the bylaws and placed in a morefluid document called Operating Rules and Regulations. 6 Article X was added to bylaws requiring Directors and Officers insurance Side A and Side B with a limit of coverage not less than 1,000,000.
