In 2017, the office building was divided into 2 commercial condominium units, the larger of which was sold to a developer. The unit sold comprised 80% of the total building square footage. The smaller unit (20%) is being retained by the organization for continued use by its parent company, the Motion Picture Association of America, Inc. The entire building was vacant throughout 2018 while redevelopment is in process. Construction is expected to be complete in the 3rd quarter of 2019. A draft of the 990 is reviewed by the organization's parent company financial management team consisting of the Director of Reporting, SVP Controller, and EVP CFO (who is also the President of the organization). Description of Process to Monitor Transactions for Conflicts of Interest Form 990, Part VI, Question 12 THE CONFLICT OF INTEREST POLICY MANDATES THAT DIRECTORS, OFFICERS & KEY EMPLOYEES, IF ANY, HAVE A RESPONSIBILITY TO DISCLOSE TO THE VP & SECRETARY THEIR INTERESTS THAT COULD GIVE RISE TO FINANCIAL CONFLICTS Of INTEREST. THESE PARTIES ARE SURVEYED ANNUALLY TO IDENTIFY POTENTIAL CONFLICTS AND ENSURE COMPLIANCE WITH THE ORGANIZATION'S POLICY. Responses are reviewed by the TREASURER to determine whether a conflict may exist; if so, the organization's TREASURER and VP & SECRETARY evaluate: a) whether the conflict influenced any transactions or decisions, b) if so, whether any present measure can cure or mitigate that conflict & c) what can be done in the future to prevent such conflicts. If an actual past conflict is discovered, the conflicted person(s) may be subject to discipline if the conflict was not reported, and also for participating in a decision or transaction that posed a conflict of interest. If a conflict involving either the Treasurer or VP & Secretary is identified, the other non-conflicted executive will be required to bring it to the attention of the President.
