| Form 990, Part VI, Section B, line 12c | Each board member must, at the time of appointment, and annually thereafter, fill out a disclosure statement indicating details of any potential conflict of interest or affirming that no such conflict exists. The other officers of the Board will review another officer's statement and determine whether a conflict of interest exists. If the officers determine that a conflict exists, the Board member with the conflict shall be required to recuse himself or herself from participating in or voting on any matter involving the conflict. Even if no conflict of interest is found, Board members are strongly encouraged to exercise their best judgment and recuse themselves from participating in or voting on matters where there is the appearance of a conflict of interest. |
