    This Plan of Liquidation and Dissolution is adopted by SOLOGRACE FOUNDATION, INC., a New Hampshire voluntary corporation formed pursuant to NHRSA 292 (the "Foundation"), as of June 30, 2019. Pursuant to the affirmative vote of at least two-thirds of the Foundation's Directors, the Foundation is to be terminated and dissolved as soon as possible pursuant to the terms set forth herein. Although the Directors' understanding is that the Foundation has no assets, to the extent that it has any assets upon dissolution, such assets shall be donated to the American Cancer Society. After the date hereof, the Foundation shall not solicit any further donations or hold itself out as a charitable organization and shall conduct no operations except as necessary to wind-down and dissolve. Mark Banus, as Treasurer of the Foundation, has been authorized and directed by such Directors to execute and file any and all necessary forms and documents on behalf of the Foundation with the Internal Revenue Service, the State of New Hampshire and with any other government agency.
