| Form 990, Part VI, Section A, Question 4 | The CareSource Foundation filed an amended Code of Regulations effective May 22, 2019. The amended Code of Regulations includes the following changes: (1) The option for the principal office to be "at such other place as may from time to time be determined by the Board" was removed; (2) A requirement that the member, CareSource ("CSOH"member"), shall elect the Trustees was added; (3) The previous provision for the change in the number of trustees was replaced to state that the member may increase or decrease the number of trustees. Also, a requirement was added that states the Board, on a permanent basis, must retain a composition whereby at least three-fourths of the trustees and the Chair shall maintain their principal residence in the Dayton area (as defined in the Membership Agreement between CareSource Management Group Co. ("CSMG") and CSOH); (4) The process for filling vacancies was updated so the Board recommends qualified candidates to the member for election; (5) The terms of Trustees were changed from 2 years to 3 years, and the requirement for staggered terms was removed; (6) A process was provided for resignation of Trustees, and the power to remove a trustee was changed from a majority of the Trustees in office to the member; (7) A section was added which defines presumed assent; (8) A section was added surrounding conduct of meetings; (9) The term of the Chair was changed from 2 years to 1 year; (10) The Treasurer's duties were modified; (11) The corporate property section was updated to allow the Corporation's member authority to reserve to itself from time to time in matters related to corporate property; (12) A section was added which establishes how proceeds received as a result of a liquidity event are to be utilized; (13) The Conflicts of Interest Article was replaced with a new article which indicates that conflicts of interest will be handled in accordance with the Conflicts of Interest Policy adopted by the member; (14) The authority to amend the Code of Regulations was changed from a majority of the trustees in office to the Corporation's member; (15) A new article was added establishing certain provisions in the Code of Regulations as permanent principles that are subject to the terms and conditions of the Membership Agreement between CSOH and CSMG. |

In connection with any actual or possible conflicts of interest, an interested person must disclose the existence of his or her financial or conflict of interest and must be given the opportunity to disclose all material facts to the trustees and members of committees with Board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the Board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining Board or committee members shall decide if a conflict of interest exists. An interested person may make a presentation at the Board or committee meeting, but after such presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement that results in the conflict of interest. The conflicted trustee has no vote on the matter involved with the conflict of interest. At the beginning of each regularly scheduled Board Meeting, the Board Members are asked to disclose if they have a Conflict of Interest on any item contained in the agenda. In addition, the Board Members are also asked to inform the Board if a Conflict of Interest arises during the course of the Board Meeting. When such a conflict is disclosed, then the procedure outlined above is implemented. |
